Code Section 755 Allocation Sample Clauses

The Code Section 755 Allocation clause governs how adjustments to the basis of partnership property are allocated among the partners when certain distributions or transfers occur. In practice, this clause ensures that any increase or decrease in the value of partnership assets, as required by Section 755 of the Internal Revenue Code, is properly assigned to the partners in accordance with their interests. This allocation is particularly relevant when a partner receives a distribution or when there is a transfer of a partnership interest, affecting the tax basis of partnership property. The core function of this clause is to ensure tax compliance and equitable allocation of tax attributes among partners, thereby preventing unintended tax consequences and maintaining accurate capital accounts.
