Collaborative Activities. Activities to be undertaken by the Parties hereunder will be conducted in a collaborative manner as determined by the committee or team overseeing such activities, and in accordance with the terms and conditions of this Agreement, as applicable.
Collaborative Activities. 1) IEEE and COMED may, from time to time as they may agree, exchange without cost, non- proprietary and confidential information directly relevant to this initiative.
2) COMED and IEEE will each appoint a liaison representative. These two representatives will take charge of all interactions between the two Parties. As of the signing date of this MOU, the appointment of the two liaison representatives is as follows: IEEE – Xxxxx Xxxxx, Program Manager COMED – Liuxi (Xxxxxx) Zhang, Sr. Manager, Engineering and Design Both Parties will explore exchange visits of high-level executives from their respective organizations at suitable times in the US or other locations as mutually agreed by them. The purpose of such exchanges is to improve communication between both Parties, reviewexisting cooperative activities and explore new cooperative projects. 3) Both Parties will exchange a joint activity report via liaison representatives on a yearlybasis.
4) COMED will encourage an agreed number of employees ( e.g. ~50 employees) to joinIEEE and the IEEE Power & Energy Society (PES) as professional individual members.
a) COMED will inspire employees to become annual members of IEEE and PES and encourage others to join as well. The list of names for membership in COMED will be provided to the IEEE.
b) The above employees will be encouraged to be active in various IEEE initiatives and forums.
c) The Full Members will receive the full benefits of a higher-grade (electronic) IEEE and higher-grade IEEE PES membership including access to the IEEE PES ResourceCenter, IEEE Power & Energy Magazine, IEEE Electrification Magazine, and muchmore. As part of the closer collaboration, IEEE PES can assist and train COMED PES members on engaging in various IEEE initiatives, such as Technical Committee participation and processes, including standards development. The above will enable COMED to better manage overall IEEE activities resulting in more cost-effective IEEE participation.
5) Both parties may cooperate to hold international conferences, workshops, seminars and Executive Luncheons on power and energy fields of interest. COMED event participation can include hosting and joint sponsorship of an event, assisting in technical program design, panel session participation, paper submission as well as paper reviews, and executive sessi...
Collaborative Activities. Before any Party engages in development activities with respect to Additional Indications or Alternate Delivery of any Product, such Party shall submit a proposal to the JDC for the Parties to engage jointly in Development activities with respect to such Additional Indications or Alternate Delivery of Product. If the JDC elects to proceed, the activities shall be incorporated into a Development Plan. Unless otherwise agreed by the Parties, their respective rights and obligations with respect to Additional Indications or Alternate Delivery shall be the same as for any Product under this Agreement.
Collaborative Activities. (a) In their collaboration, the Parties will pursue joint actions encompassing diverse projects and topics in the following areas, but not limited to:
(i) Sharing knowledge, ideas, best practice and lessons learned on matters of interest to the Parties and relevant to this Memorandum pursuant to their Common Objectives;
(ii) Providing facilities for seminars, workshops or conferences;
(iii) Providing access to seminars organized by each Party;
(iv) Providing access to training material developed by each Party; and
(v) Organizing and providing speakers at events of mutual interest.
(b) The World Bank and EIOPA anticipate that any collaboration between the Parties and any resulting joint project will require the contribution of resources, the nature and extent of which would need to be agreed upon and set forth in one or more Terms of Reference. A Terms of Reference may consider such matters including the following:
(i) Provision of staff time;
(ii) Provision of facilities for workshops, conferences or training seminars;
(iii) Sharing materials, information data and analytical tools;
(iv) Provisions of support to relevant stakeholders; and
(v) Such other resources as the Parties may agree.
(c) Each collaborative activity shall be undertaken under the reserve of available resources (human and budgetary) and meeting rooms and shall be made in accordance with the regulations, rules, and policies of the Parties.
(d) Each Party shall be responsible for its own costs of negotiating and drafting this Memorandum.
Collaborative Activities. 5.5.1. The Innovation Hub may conduct and/or par- ticipate in Collaborative Activities which may be internal and comprise only Parties, or be external and be conduct- ed with third parties. Should any of the Parties propose a Collaborative Activity, such proposition shall be consid- ered by the Project Board at a meeting.
5.5.2. Should the Project Board decide in favour of the initial proposition, the Managing Party shall be assigned to lead the assessment, discussions and negotiations with the relevant Parties and/or third parties. The Managing Party may be assisted by one or more of the Parties.
5.5.3. For the sole purpose of the facilitating the dis- cussions and negotiations, the Managing Party shall be permitted to disclose Confidential Information to the leading party or parties of the proposed collaboration. Collaborative Activity. Prior to the disclosure, said party shall have signed a confidentiality agreement pertaining to such information, not less strict than the provisions contained in this Agreement, and the disclosure shall be as limited as possible.
Collaborative Activities. Any collaborative activity as outlined in article 1 above shall be subject to the availability of sufficient financial and human resources for that purpose, as well as each Party’s programme of work, priority activities, internal rules, regulations, policies, administrative procedures and practices. Each collaborative activity shall thus be agreed on a case-by case-basis, subject to a separate exchange of letters or agreement.
Collaborative Activities. The parties indicate their agreement to mutually collaborate on the following activities, the results of which are expected to be of mutual benefit to the parties:
1. Professional training courses for delivery in Honduras
a. NC State’s Xxxx Textiles Extension, Xxxxxx, and CVCC will provide collaborative workshops, seminars, and short- to long-term workforce training programs based on non-credit courses for Honduras citizens.
b. Courses may be offered in various formats, including: online, asynchronous or live web, in person at UNITEC, or in person at various corporate partner locations
c. Course completion will be recognized through non-credit certificates with digital tracking through Credly
d. CVCC, Gaston, NC State, and UNITEC will identify corporate partner sites to offer hands-on training using established equipment
e. UNITEC, with input from CVCC, Xxxxxx, and NC State, will establish a training center with the necessary equipment to offer hands on training on its campus, as funding becomes available
f. As the training program develops, CVCC, Gaston, NC State, and UNITEC will collaborate to create ‘train the trainer’ programs
g. As the training program develops, CVCC, Gaston, NC State, and UNITEC will continue to collaborate to establish new offerings based on the demand of the industry
2. Certificate programs for academic credit
a. CVCC, Gaston, NC State, and UNITEC will collaborate to offer existing for-credit certificate programs to Honduran citizens
b. Courses may be offered in various formats, including: online, asynchronous or live web, in person at UNITEC, or in person at various corporate partner locations
c. Credit, based on the course and contact hours, will be transferable toward an associate’s degree through Xxxxxx College.
d. All agreements pertaining to academic for-credit courses and programs are subject to review through each institutional partner’s academic review process and approval by the academic official for each institution.
3. Associate degree programs in textile-related areas of study
a. CVCC, Gaston, NC State, and UNITEC will collaborate to establish a pipeline of students in Honduras to pursue associate degrees in textile-related areas of study. An existing pathway is enumerated below in 3.d.

Collaborative Activities. (a) Each Party will perform its Project and otherwise act in a manner consistent with the Purpose and the terms of these Principles, the associated Grant Agreement, and the associated Project SOW. To the extent the Purpose, these Principles or the Project SOW conflict with a Grant Agreement, the Grant Agreement shall prevail.
(b) The Parties agree to discuss in good faith potential collaborations with each other consistent with the Purpose. Such collaborations may include, for example, arranging for a Party’s principal investigator or other scientists to conduct research or perform a Party’s Project and use another Party’s campus.
(c) Each Party may engage (sub)contractors, (sub)grantees or other third parties (“Subcontractors”) in its discretion to assist with such Party’s Project, provided that (i) such Subcontractors’ rights are subject to the terms of these Principles and (ii) such Party will cause any such Subcontractor to enter into a valid, written agreement with terms and conditions consistent with the applicable terms and conditions of these Principles. Each Party will be responsible for all acts or omissions of its Subcontractors.

Collaborative Activities. Before any Party engages in Development activities that may result in U.S. Development Costs with respect to any Licensed Compound or Product in the Field, and which activities are not included in the then-current Development Plan, such Party shall submit a proposal to the ODC for the Parties to engage jointly in such Development activities with respect to such Licensed Compound or Product. If the ODC elects to proceed, the activities shall be incorporated into a draft Development Plan to be submitted to the OSC for approval.
