Collaborative Research. The university encourages researchers to share information and to work in collaboration with others, where this is likely to advance the state of knowledge. Collaboration agreements between academic personnel and researchers at outside institutions, agencies, and companies must specify, in advance and in writing, how the process by which the rights to intellectual property arising out of the collaboration will be determined. The determination of rights shall be based on the extent and nature of the contribution, and not on differences in power or rank. The rights of students involved in research projects, particularly with respect to recognition and the assignment of grades must be protected. Where university facilities and/or funds administered by the university are involved, the university must be a party to the agreement. Any waiver or modification of rights requires informed consent.
Collaborative Research. 2.1 NCATS and Collaborator agree to collaborate on the Research Project. The Investigator for NCATS will be NAME (&DEGREE) and the Investigator for Collaborator will be NAME (&DEGREE).
2.2 Nothing in this Agreement will be construed to limit the freedom of either Party from engaging in similar research with other parties, providing the research does not create a conflict with the Parties’ obligations under this Agreement, especially with regard to Article 3.
2.3 The Parties recognize that the Research Project describes the collaborative research to be conducted under this Agreement and that the goals set forth in Appendix A are good faith guidelines. If events occur that require substantial modification of the Research Project, the Parties may amend Appendix A according to Paragraph 6.2.1 of this Agreement.

Collaborative Research. Commencing on the Effective Date, the Parties shall conduct the Research pursuant to the Research and Development Plan, with the goals of: (a) identifying and selecting those Collaboration Compounds that may be suitable for further scientific evaluation (immediately or at some future time during the Research Term) and those Collaboration Compounds that clearly do not warrant such further scientific evaluation and should instead be classified as Terminated Compounds; (b) further evaluating Collaboration Compounds; (c) identifying and selecting certain Collaboration Compounds for further development as Development Compounds; and (d) identifying and selecting certain Collaboration Compounds as Back-Up Compounds to the Development Compounds. The Parties shall conduct the Research in accordance with this Agreement, the Research and Development Plan (as it may be amended hereunder from time to time), the Semi-Annual Research Plans established pursuant to the provisions of this Article 2 and the Phase Transition Criteria.
Collaborative Research. During the Collaborative Research Term, and subject to the terms and conditions of this Agreement, Exelixis hereby grants Sanofi-Aventis an exclusive, worldwide, royalty-free license (without the right to sublicense except to Third Party contract research providers and manufacturers), under the Exelixis Patents, Exelixis Know-How and Exelixis’ interest in the Joint Invention Patents, solely to: (i) conduct Sanofi-Aventis’ responsibilities under the Research Plan; and (ii) conduct Manufacturing activities pursuant to Section 7.2(a) or Section 7.2(b), as applicable.
Collaborative Research. The Biology Guide to Graduate Studies, the University Policy on Intellectual Ownership and the SGSPA Guidelines on Intellectual Property provide guidelines on (i) authorship on papers based on thesis research and (ii) ownership of data and intellectual property. Collaborative Research. The parties intend to conduct the Research Program on a collaborative basis, and to cooperate to identify Lead Compounds in the Active Projects.
Collaborative Research. Subject to the terms and conditions set forth herein, Warner and GenVec will diligently conduct mutually agreed collaborative research in the Field pursuant to a Research Plan with the primary objective of developing Collaboration Products (the "Research Program"). The Research Program shall have the goals of (i) developing at least one Collaboration Product for the treatment of each of CAD and PVD, and (ii) identifying other clinical indications in the Field for which Product Configurations may be useful as therapeutic agents. Warner and GenVec shall each use reasonable efforts to conduct the Research Program in a professional manner in accordance with the applicable Research Plan within the time schedules contemplated therein. The activities conducted in connection with the Research Program will be overseen and administered by the Research Management Committee pursuant to Section 2.1.1 below.
