Common use of Collateral Agent’s Costs and Expenses Clause in Contracts

Collateral Agent’s Costs and Expenses. The Collateral Agent shall have the right at any time and from time to time, after delivery to each Secured Creditor of a written accounting, to apply any amounts in the Intercreditor Disbursement Account to the payment of the fee set forth in Section 5.2 and the reasonable out-of-pocket costs and expenses (including reasonable attorney fees and disbursements) incurred by the Collateral Agent in administering and carrying out its obligations under this Agreement or the Collateral Documents, in exercising or attempting to exercise any right or remedy hereunder or thereunder or in taking possession of, protecting, preserving or disposing of any item of Collateral, and all amounts against or for which the Collateral Agent is to be indemnified or reimbursed hereunder (excluding any such costs, expenses or amounts which have theretofore been reimbursed) until all of such costs, expenses and amounts have been paid in full.
