Common use of Collateral Agent’s Fees and Expenses Clause in Contracts

Collateral Agent’s Fees and Expenses. The parties hereto agree that the Collateral Agent shall be entitled to reimbursement of its expenses incurred hereunder (including without limitation disbursements of the Collateral Agent pursuant to Section 5.14) and indemnity for its actions in connection herewith to the extent provided in Sections 9.03 of the Credit Agreement.

Collateral Agent’s Fees and Expenses. The parties hereto agree that the Collateral Agent shall be entitled to reimbursement of its reasonable out-of-pocket costs and expenses incurred hereunder, except for expenses, disbursements and advances as shall have been caused by the Collateral Agent’s negligence or willful misconduct, in connection with exercise of its rights or remedies hereunder (including without limitation disbursements or as otherwise provided in Article 11 of the Collateral Agent pursuant to Section 5.14) and indemnity for its actions in connection herewith to the extent provided in Sections 9.03 of the Credit AgreementIndenture.
