Collateral and Training. The Parties will jointly develop procedures regarding Pac-West's use of USWC's retail product training materials. Except for any rights granted by USWC to Pac-West for the use or copying of product training material, product training provided under this Agreement shall be considered "Proprietary Information" as described in this Agreement, and shall be subject to the terms and conditions specified therein.
