Collateral Assignments and Filing. Seller shall take all such reasonable actions as requested by Purchaser to assist Purchaser in obtaining the valid perfection of a lien or security interest in the collateral, if any, securing each Loan or Reimbursement Obligation sold on the Closing Date in favor of Purchaser or its designated assignee as secured party. Any such action shall be at the sole expense of Purchaser, and Purchaser shall reimburse Seller for all reasonable third party costs incurred in connection therewith.

Collateral Assignments and Filing. As reasonably requested by Purchaser, Seller shall take all such reasonable actions to assist Purchaser in obtaining the valid perfection of a first priority lien or security interest in the collateral, if any, securing each Designated Loan sold on the Closing Date in favor of Purchaser or its designated assignee as secured party. In the event that Seller does not hold a first priority lien or security interest in the collateral securing any Designated Loan, Seller shall take all such reasonable actions to assist Purchaser in obtaining the valid perfection of the same priority lien or security interest Seller has in such collateral, if any. Any action taken pursuant to this Section 4.10 shall be at the sole expense of Purchaser, and Purchaser shall reimburse Seller for all reasonable actual costs of third-party services incurred in connection therewith, provided any such costs that exceed $1,000 in the aggregate are approved in advance by Purchaser, which approval shall not be unreasonably withheld.
