Common use of Collateral Custodian Compensation Clause in Contracts

Collateral Custodian Compensation. As compensation for its Collateral Custodian activities hereunder, the Collateral Custodian shall be entitled to the Collateral Custodian Fees from the Borrower as set forth in the Collateral Custodian Fee Letter, payable pursuant to the extent of funds available therefor pursuant to the provisions of Section 2.08; provided that if such amounts are insufficient then Sections 9.12 and 11.07 shall be applicable. The Collateral Custodian’s entitlement to receive the Collateral Custodian Fees shall cease on the earlier to occur of (i) its removal as Collateral Custodian pursuant to Section 9.05, (ii) its resignation as Collateral Custodian pursuant to Section 9.07 of this Agreement or (iii) the termination of this Agreement; provided that the Collateral Custodian shall be entitled to any Fees accrued and payable up to such date to the extent not previously paid.

The Collateral Custodian’s entitlement to receive the Collateral Custodian Fees shall cease on the earlier to occur of of: (i) its removal as Collateral Custodian pursuant to Section 9.0512.05, (ii) its resignation as Collateral Custodian pursuant to Section 9.07 12.07 of this Agreement or (iii) the termination of this Agreement; provided that the Collateral Custodian shall be entitled to any Fees fees accrued and payable up to such date to the extent not previously paid.
