Collateral Documents; Real Property Documents. (i) Updated Schedules to the Security Agreement as of the Fourth Restatement Effective Date; (ii) Evidence that upon the filing of appropriate financing statements the Administrative Agent will have a valid, perfected first priority Lien on all Collateral as to which a security interest can be perfected by filing a financing statement, subject to Permitted Liens; (iii) Uniform Commercial Code search certificates from the jurisdictions in which Uniform Commercial Code financing statements are to be filed pursuant to subsection (d)(i) above reflecting no other financing statements or filings which evidence Liens of other Persons in the Collateral which are prior to the Liens granted to the Administrative Agent in this Agreement, the Security Documents and the other Loan Documents, except for any such prior Liens which are expressly permitted by this Agreement to be prior; -2- 4159-4780-3173 ​ ​ (iv) Amendments to or amended and restated Control Agreements or new Control Agreements with each bank and securities intermediary at which a Borrower maintains a deposit account (other than Excluded Accounts) or securities account, to the extent any such accounts are not subject to Control Agreements; (v) The Borrowers shall have complied with FIRREA and all other legal requirements for the making of the loan and all of the Administrative Agent’s policies in respect of real estate construction loans (including, without limitation, receipt of results of flood zone report (and confirmation of such receipt) and maintenance of necessary flood insurance in amounts and where required under applicable law); (vi) Appropriate documents for filing with the United States Patent and Trademark Office, the United States Copyright Office and all other filings necessary to perfect the security interests granted to the Administrative Agent by the Security Documents, all appropriately completed and duly executed by the applicable Loan Party and, where appropriate, notarized; (vii) The Inter-Mountain Deed of Trust, duly executed and acknowledged and recorded in Clear Creek County, Colorado, and an irrevocable commitment to issue an ALTA extended coverage Lender’s policy of title insurance with respect to such Deed of Trust and a tie-in endorsement between such policy and the existing Lender title policies, insuring the validity and priority of the Inter-Mountain Deed of Trust, in such form as the Administrative Agent may require, issued by a title insurer acceptable to the Administrati...
