Common use of Collateral Documents Clause in Contracts

Collateral Documents. The provisions of the Collateral Documents are effective to create in favor of the Administrative Agent for the benefit of the Secured Parties a legal, valid and enforceable first priority Lien (subject to Permitted Liens) on all right, title and interest of the respective Loan Parties in the Collateral described therein. Except for filings completed prior to the Closing Date and as contemplated hereby and by the Collateral Documents, no filing or other action will be necessary to perfect or protect such Liens.

Collateral Documents. Except for filings completed prior to the Closing Date and as contemplated hereby by this Agreement and by the Collateral Documents, no filing or other action will be necessary to perfect or protect such Lienssecurity interest.

The provisions of the Collateral Security Documents are effective to create in favor of the Administrative Collateral Agent for the benefit of the Secured Parties a legal, valid and enforceable first priority Lien (subject to Permitted LiensLiens permitted by Section 6.02) on all right, title and interest of the respective Loan Parties Borrower and each Subsidiary Guarantor in the Collateral described therein. Except for filings completed prior , in each case, with respect to perfection, to the Closing Date and as contemplated hereby and extent such Lien may be perfected by the Collateral filing of a financing statement under the UCC or taking of other actions expressly required under the Loan Documents, no filing or other action will be necessary to perfect or protect such Liens.
