Common use of Collateral Trustee Clause in Contracts

Collateral Trustee. (a) The Company has appointed The Bank of New York Mellon Trust Company, N.A. to serve as the Collateral Trustee for the benefit of, among others, the Holders of the Notes, the holders of the Existing Secured Notes and the holders of future Stock Secured Obligations. (b) The Collateral Trustee (directly or through co-trustees or agents) holds and will continue to hold, and is entitled to and will continue to be entitled to enforce, all Liens on the Collateral created by the Stock Lien Security Documents. (c) Except as provided in the Stock Lien Security Documents, the Collateral Trust Agreement or as directed by an Act of Required Stock Secured Debtholders, the Collateral Trustee is not nor will it be obligated: (1) to act upon directions purported to be delivered to it by any Person in respect of the Collateral; (2) to foreclose upon or otherwise enforce any Lien on the Collateral; or (3) to take any other action whatsoever with regard to any or all of the Stock Lien Security Documents, the Liens created thereby or the Collateral.

Collateral Trustee. With respect to the Notes, (a1) The Company has appointed The U.S. Bank of New York Mellon Trust Company, N.A. to serve National Association will initially act as the Collateral Trustee for the benefit of, among others, of the Holders of the Notes, the holders of the Existing Secured Notes and all other Parity Lien Obligations outstanding from time to time; (2) Neither the holders Issuers, nor any of future Stock Secured Obligationstheir Affiliates and no Parity Lien Representative, Priority Lien Representative or Junior Lien Representative may serve as Collateral Trustee. (b3) The Collateral Trustee shall hold (directly or through co-trustees or agents) holds ), and will continue to hold, and is entitled to and will continue to be entitled to enforce, all Liens on the Collateral created by the Stock Lien Security Documents. (c4) Except as provided in the Stock Lien Security Documents, the Collateral Trust Agreement Documents or as directed by an Act of Required Stock Secured DebtholdersDebtholders in accordance with the Security Documents, the Collateral Trustee is shall not nor will it be obligated: (1a) to act upon directions purported to be delivered to it by any Person in respect of the CollateralPerson; (2b) to foreclose upon or otherwise enforce any Lien on the CollateralLien; or (3c) to take any other action whatsoever with regard to any or all of the Stock Lien Security Documents, the Liens created thereby or the Collateral. (5) A resignation or removal of the Collateral Trustee and appointment of a successor Collateral Trustee will become effective pursuant to the terms set forth in the Security Documents.
