Collection of Certain Mortgage Loan Payments. The Servicer shall make reasonable efforts to collect all payments called for under the terms and provisions of the related Mortgage Loans, and shall, to the extent such procedures shall be consistent with this Agreement and Accepted Servicing Practices, follow such collection procedures as it would follow with respect to mortgage loans comparable to the Mortgage Loans and held for its own account. Consistent with the foregoing, the Servicer may in its discretion (i) waive any late payment charge or, if applicable, penalty interest or (ii) extend the due dates for the Monthly Payments due on a Mortgage Note related to a Mortgage Loan for a period of not greater than 180 days; provided that any extension pursuant to this clause shall not affect the amortization schedule of any Mortgage Loan for purposes of any computation hereunder. (b) Each Servicer shall deposit into the related Principal and Interest Account in accordance with Section 8.08(a) all Prepaid Installments received by it, and shall apply such Prepaid Installments as directed by such Mortgagor and as set forth in the related Note.

For clarification, no obligation of the Master Servicer or the Special Servicer to use commercially reasonable efforts to collect fees from the related Mortgagor will change the obligation of the Master Servicer to pay such fees from general collections or other proceeds in accordance with Section 3.06(a) and Section 3.06A(a) of this Agreement, whether or not such Special Servicing Fees, Workout Fees or Liquidation Fees are collected from or paid by the related Mortgagor. The Master Servicer, with respect to the Mortgage Loans and held for Companion Interests other than Specially Serviced Mortgage Loans, and Special Servicer, with respect to the Specially Serviced Mortgage Loans, shall use its own accountreasonable efforts to collect income statements, rent rolls and other reporting information from Mortgagors (as required under the related Loan Documents). Consistent with the foregoing, the Master Servicer (with respect to non-Specially Serviced Mortgage Loans) or Special Servicer (with respect to Specially Serviced Mortgage Loans), as applicable, may in its discretion (i) waive any late payment charge or, if applicable, penalty interest or (ii) extend the due dates for the Penalty Charges in connection with any delinquent Monthly Payments due on a Mortgage Note related Payment with respect to a Mortgage Loan for a period of not greater than 180 days; provided that any extension pursuant to this clause shall not affect the amortization schedule of any Mortgage Loan for purposes or Companion Interest. Collection of Certain Mortgage Loan Payments. The Servicer (a) With respect to any GMACM Mortgage Loan which GMACM determines may be subject to the Home Ownership Equity Protection Act of 1994 and any regulations related thereto ("HOEPA"), which Mortgage Loan is in default, but prior to the commencement of any loss mitigation procedures or foreclosure proceedings, GMACM shall make reasonable efforts to collect all payments called for under the terms and provisions of (A) review the related Mortgage LoansCustodial File to determine whether or not the Custodial File contains the disclosure documents required by HOEPA, whether or not such documents appear to have been executed by the related Mortgagor(s), and shallwhether or not such documents appear to have been executed three or more days in advance of closing and (B) inform the Trustee and the Depositor if such timely and executed disclosure documents are not in the Custodial File. Further, prior to the extent commencement of any loss mitigation procedures with respect to such procedures Mortgage Loan, unless notified by the Trustee otherwise, GMACM shall be consistent notify those servicing personnel involved in loss mitigation related to such GMACM Mortgage Loan as to whether or not any such disclosure documentation is defective or missing.
(b) GMACM will not waive any Prepayment Penalties related to a GMACM Mortgage Loan or part of such Prepayment Penalty, unless, in GMACM's reasonable judgment in accordance with this Agreement and Accepted Servicing Practices, follow (x) such collection procedures as it waiver relates to a default or a reasonably foreseeable default, (y) such waiver would follow with respect to mortgage loans comparable to maximize recovery of total proceeds taking into account the value of such Prepayment Penalty and the related Mortgage Loan and (z) doing so is standard and customary in servicing similar Mortgage Loans and held for its own account. Consistent (including any waiver of a Prepayment Penalty in connection with the foregoing, the Servicer may in its discretion (i) waive any late payment charge or, if applicable, penalty interest or (ii) extend the due dates for the Monthly Payments due on a refinancing of a Mortgage Note Loan that is related to a default or a reasonably foreseeable default) and in no event will it waive a Prepayment Penalty in connection with a refinancing of a GMACM Mortgage Loan for that is not related to a period of not greater than 180 days; provided that any extension pursuant to this clause default or a reasonably foreseeable default.
(c) GMACM shall not affect the amortization schedule of any Mortgage Loan for purposes of any computation hereunder. Collection of Certain Mortgage Loan Payments. The Servicer shall make reasonable efforts to collect all payments called for under the terms and provisions of the related Mortgage Loans, and shall, to the extent such procedures shall be consistent with this Agreement and Accepted Servicing Practices, follow such collection procedures as it would follow with respect to mortgage loans comparable to the Mortgage Loans and held for its own account. Consistent with the foregoing, the Servicer may in its discretion (i) waive any late payment charge or, if applicable, penalty interest or (ii) extend the due dates for the Monthly Payments due on a Mortgage Note related to a Mortgage Loan for a period of not greater than 180 days; provided that any extension pursuant to this clause shall not affect the amortization schedule of any Mortgage Loan for purposes of any computation hereunder. Notwithstanding the foregoing, in the event that any Mortgage Loan is in default or, in the judgment of the Servicer, such default is reasonably foreseeable, the Servicer, consistent with Accepted Servicing Practices may waive, modify or vary any term of such Mortgage Loan (including, but not limited to, modifications that change the Mortgage Rate, forgive the payment of principal or interest or extend the final maturity date of such Mortgage Loan), accept payment from the related Mortgagor of an amount less than the Stated Principal Balance in final satisfaction of such Mortgage Loan, or consent to the postponement of strict compliance with any such term or otherwise grant indulgence to any Mortgagor if in the Servicer’s determination such waiver, modification, postponement or indulgence is not materially adverse to the interests of the Certificateholders (taking into account any estimated Realized Loss that might result absent such action). Consistent with the terms of this Agreement, a Servicer may waive, modify or vary any term of any Mortgage Loan or consent to the postponement of strict compliance with any such term or in any manner grant indulgence to any Mortgagor, provided, however, that (unless the Mortgagor is in default with respect to the Mortgage Loan, or such default is, in the judgment of such Servicer, imminent and such Servicer has the consent of the Seller) such Servicer may not permit any modification with respect to any Mortgage Loan that would change the Coupon Rate (except for any change made pursuant to the adjustment provisions of a Note evidencing an Adjustable Rate Loan), forgive the payment of any principal or interest or prepayment penalties (unless the Servicer with the written consent of the Seller believes that forgiving such prepayment penalties will result in a financial benefit to the Trust), change the outstanding principal amount, require any future advances, provide for the substitution or release of any material portion of the collateral or extend the final maturity date on such Mortgage Loan; provided further that no such indulgence shall affect the Servicer's obligation to make Delinquency Advances pursuant to Section 8.09.
(b) Each Servicer shall deposit into the related Principal and Interest Account in accordance with Section 8.08(a) all Prepaid Installments received by it, and shall apply such Prepaid Installments as directed by such Mortgagor and as set forth in the related Note.

Collection of Certain Mortgage Loan Payments. The Each of the Master Servicer shall make reasonable efforts to and the Special Servicer shall, in accordance with the servicing standard set forth in Section 3.1(a), collect all payments called for under the terms and provisions of the related Mortgage LoansLoans that it is obligated to service hereunder, collect all distributions on the Mortgage Certificates and shall, to the extent such procedures shall be consistent with this Agreement and Accepted Servicing Practices, follow such collection procedures as it generally would follow with respect to mortgage loans comparable to the Mortgage Loans and pass-through certificates comparable to the Mortgage Certificates held for in other portfolios or in its own accountportfolio, whichever servicing procedure is of a higher standard, so long as such collection procedures are in accordance with commercially reasonable standards and the applicable Mortgage Loan documents. Consistent with the foregoing, the Master Servicer and the Special Servicer may each in its discretion (i) waive any late payment or assumption or modification charge or, if applicable, or penalty interest in connection with any delinquent Monthly Payment or (ii) extend the due dates for the Monthly Payments due on a Mortgage Note related Balloon Payment with respect to a Mortgage Loan for a period of not greater than 180 days; provided that any extension pursuant to this clause shall not affect the amortization schedule of any Mortgage Loan for purposes which the Master Servicer or Special Servicer, respectively, is obligated to service hereunder, but only to the extent that such waiver would not adversely affect the REMIC status of the Upper-Tier REMIC or the Lower-Tier REMIC, or result in the imposition of any computation hereundertax upon either the Upper-Tier or Lower-Tier REMIC under the REMIC Provisions or any similar provisions of federal, state or local tax laws, as evidenced by an Opinion of Counsel obtained at the expense of the Borrower requesting such waiver. Notwithstanding All payments actually made shall be applied first to the foregoingMonthly Payment and any overdue Monthly Payments. The Master Servicer, on behalf of the Trustee, shall withhold any consent required to be obtained by a Borrower from the mortgagee pursuant to the related Mortgage Loan prior to making any partial or full Principal Prepayment thereunder. In the event that, during the three month period ending on the Maturity Date, the related Borrower indicates an inability to pay such Balloon Payment on or before the Maturity Date thereof, the Master Servicer may determine that a Servicing Transfer Event as described in clause (i) of the definition thereof has occurred if, in connection with such determination, the event Master Servicer determines, in its reasonable business judgment, that any a payment default on the Mortgage Loan is in default or, in the judgment of the Servicer, such default is reasonably foreseeable, the Servicer, consistent with Accepted Servicing Practices may waive, modify or vary any term of such Mortgage Loan (including, but not limited to, modifications that change the Mortgage Rate, forgive the payment of principal or interest or extend the final maturity date of such Mortgage Loan), accept payment from the related Mortgagor of an amount less than the Stated Principal Balance in final satisfaction of such Mortgage Loan, or consent to the postponement of strict compliance with any such term or otherwise grant indulgence to any Mortgagor if in the Servicer’s determination such waiver, modification, postponement or indulgence is not materially adverse to the interests of the Certificateholders (taking into account any estimated Realized Loss that might result absent such action). The Servicer shall not be required to institute or join in litigation with respect to collection of any payment (whether under a Mortgage, Mortgage Note or otherwise or against any public or governmental authority with respect to a taking or condemnation) if it reasonably believes that enforcing the provision of the Mortgage or other instrument pursuant to which such payment is required is prohibited by applicable lawimminent.

Consistent with the foregoing, the Servicer may in its discretion (i) waive waive, modify or vary any late payment charge or, if applicable, penalty interest term of any Mortgage Loan or (ii) extend consent to the due dates for postponement of strict compliance with any such term or in any manner grant indulgence to any Mortgagor if in the Monthly Payments due on a Mortgage Note related Servicer’s reasonable and prudent determination such waiver, modification, postponement or indulgence is not materially adverse to a the Certificateholders; provided, however, that the Servicer shall not make future advances and (unless the Mortgagor is in default with respect to the Mortgage Loan for a period or such default is, in the judgment of not greater than 180 days; provided that any extension pursuant to this clause the Servicer, reasonably foreseeable) the Servicer shall not affect the amortization schedule of permit any modification with respect to any Mortgage Loan for purposes that would (i) change the Mortgage Interest Rate, defer or forgive the payment thereof of any computation hereunderprincipal or interest payments, reduce the outstanding principal amount (except for actual payments of principal) or extend the final maturity date with respect to such Mortgage Loan, (ii) affect adversely the status of any REMIC as a REMIC or (iii) cause any REMIC to be subject to a tax on “prohibited transactions” or “contributions” pursuant to the REMIC Provisions. Notwithstanding the foregoing, the Servicer shall not permit any modification with respect to any Mortgage Loan that would either (x) effect an exchange or reissuance of such Mortgage Loan under Section 1.860G-2(b) of the Treasury Regulations or (y) cause any REMIC constituting part of the Trust Fund to fail to qualify as a REMIC under the Code or the imposition of any tax on “prohibited transactions” or “contributions” after the Startup Day under the REMIC Provisions. Without limiting the generality of the foregoing, the Servicer shall continue, and is hereby authorized and empowered to execute and deliver on behalf of itself, and the Trustee, all instruments of satisfaction or cancellation, or of partial or full release, discharge and all other comparable instruments, with respect to the Mortgage Loans and with respect to the Mortgaged Property. Notwithstanding the foregoing, in the event that any a Mortgage Loan is in default or, in the judgment of the Servicer, such default is reasonably foreseeable, the Servicer, consistent with Accepted Servicing Practices the standards set forth in Section 3.01, may also waive, modify or vary any term of such Mortgage Loan (including, but not limited to, including modifications that would change the related Mortgage Rate, forgive the payment of principal or interest or extend the final maturity date of such Mortgage Loan), accept payment from the related Mortgagor of an amount less than the Stated Principal Balance in final satisfaction of such Mortgage Loan, Loan or consent to the postponement of strict compliance with any such term or otherwise grant indulgence to any Mortgagor if related Mortgagor.
(b) Notwithstanding anything herein to the contrary, the Servicer may waive a Prepayment Premium pursuant to the conditions set forth in Section 2.05(a)(vii). With respect to any such waiver of a Prepayment Premium, the Servicer shall deliver to the Trustee an Officer’s Certificate stating that the conditions set forth in Section 2.05(a)(vii) have been met with respect to the related Mortgage Loan.
(c) Notwithstanding any provision in this Agreement to the contrary, in the Servicer’s determination such waiverevent the Prepayment Premium payable under the terms of the Mortgage Note is less than the amount of the Prepayment Premium set forth in the Mortgage Loan Schedule, modification, postponement the Prepayment Premium Schedule or indulgence is not materially adverse other information provided to the interests of Servicer, the Certificateholders (taking into account any estimated Realized Loss that might result absent such action). The Servicer shall not be required to institute have liability or join in litigation obligation with respect to collection such difference, and in addition the Servicer shall not have any liability or obligation to pay the amount of any payment (whether under a Mortgage, Mortgage Note uncollected Prepayment Premium if the failure to collect such amount is the direct result of inaccurate or otherwise or against any public or governmental authority with respect to a taking or condemnation) if it reasonably believes that enforcing the provision of incomplete information on the Mortgage or other instrument pursuant to which such payment is required is prohibited by applicable lawLoan Schedule.

Consistent with the terms of this Agreement, a Servicer may waive, modify or vary any term of any Mortgage Loan or consent to the postponement of strict compliance with any such term or in any manner grant indulgence to any Mortgagor; provided, however, that (unless the Mortgagor is in default with respect to the Mortgage Loan, or such default is, in the judgment of such Servicer, imminent and such Servicer has the consent of the Seller) such Servicer may not permit any modification with respect to any Mortgage Loan that would change the Coupon Rate (except for any change made pursuant to the adjustment provisions of a Note evidencing an adjustable rate Mortgage Loan), forgive the payment of any principal or interest or prepayment penalties (unless the Servicer with the written consent of the Seller believes that forgiving such prepayment penalties will result in a financial benefit to the Trust), change the outstanding principal amount, require any future advances, provide for the substitution or release of any material portion of the collateral or extend the final maturity date on such Mortgage Loan; provided further that no such indulgence shall affect the Servicer's obligation to make Delinquency Advances pursuant to Section 8.09. 100
(b) Each Servicer shall deposit into the related Principal and Interest Account in accordance with Section 8.08(a) all Prepaid Installments received by it, and shall apply such Prepaid Installments as directed by such Mortgagor and as set forth in the related Note.
