Common use of Collection Suit by Trustee Clause in Contracts

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a) or (b) occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, interest and Additional Interest, if any, remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(1) or (ba)(2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company for the whole amount of principal of, premium, interest and Additional InterestAmounts, if any, and interest remaining unpaid on on, the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.l(a) or (b) occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company for the whole amount of principal of, premium, interest premium and Additional Interest, if any, and interest remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expensesexpense, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a6.01(a)(i) or (ba)(ii) occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and Company for (i) the Guarantors for the whole amount of principal ofprincipal, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes and Notes, (ii) interest on overdue principal and premium, if any, and, to the extent lawful, interest and Additional Interest, if anyinterest, and (iii) such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counselcounsel (“Trustee Expenses”).

If an Event of Default specified in Section 6.01(a6.01 (i) or (bii) occurs and is continuing, the Trustee is authorized to recover judgment in its own name on behalf of all the Holders of Notes and as trustee the fondé de pouvoir (holder of an express trust the power of attorney) against the Issuers and the Guarantors Company for the whole amount of principal of, premium, interest and Additional Interest, if any, remaining unpaid on the Notes and interest then due and owing (together with interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, interest) and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a) or (b) 5.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company or any other obligor for the whole amount of principal ofprincipal, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes any Securities of such series and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover amounts due the Trustee under Section 6.07 hereof, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a7.01(c) or (bd) occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers Company and the Guarantors Subsidiaries for the whole amount of principal Principal of, premium, interest and Additional Interest, if any, Redemption Price, Interest and any other amounts remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a5.01(a) or (b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers Company, and to enforce such judgment and collect the Guarantors monies adjudicated or decreed to be payable, for the whole amount of principal of, premium, of and interest and Additional Interest, if any, remaining unpaid on the Notes and Notes, interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a6.1(1) or (b2) occurs and is continuing, without the possession of any of the Notes or the production thereof in any proceeding related thereto, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company for the whole amount of principal of, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the reasonable costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the TrusteeTrustee (including without limitation any amounts due to the Trustee pursuant to Section 7.7), its agents and counsel.

If an Event of Default specified in Section 6.01(a7.01(i) or (bii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers Company, and to enforce such judgment and collect the Guarantors moneys adjudicated or decreed to be payable, for the whole amount of principal of, premium, of and interest and Additional Interest, if any, remaining unpaid on the Notes and Notes, interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a6.01(a)(1) or (b2) occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuers Company and any other obligor on the Guarantors Notes, including the Guarantors, for the whole amount of principal of, premium, interest if any, and Additional Interestinterest, if any, remaining unpaid on the Notes and interest Notes, together with interest, if any, on overdue principal and, to the extent lawful, interest and Additional Interestinterest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.

Collection Suit by Trustee. If an Event of Default with respect to the Securities of any series specified in Section 6.01(a701(i) or (bii) occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company or any other obligor for the whole amount of principal ofprincipal, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes Securities of such series and interest on overdue principal and, to the extent lawful, interest and Additional Interestinterest, if any, premium and such further amount as shall be sufficient to cover the costs and expenses of collection, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a7.01(1) or (b2) occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers Company and the Guarantors for the whole amount of principal and Aggregate Accreted Principal Amount, of, premium, premium and interest and Additional Interest, if any, remaining unpaid on the Notes and interest on overdue principal and Aggregate Accreted Principal Amount and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If With respect to the Securities of any series, if an Event of Default specified in Section 6.01(aclause (1) or (b2) of Section 501 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company for the whole amount of principal of, premium, interest and Additional Interestpremium on, if any, and interest remaining unpaid on the Notes Securities of that series and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(i) or (bii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, interest and if any, Additional Interest, if any, and interest remaining unpaid on on, the Notes and interest on overdue principal principal, if applicable, and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a) or 6.01(i)or (bii) occurs and is continuing, the Trustee is authorized to recover a judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, premium and interest and (including Additional Interest, if any, ) remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and (including Additional Interest, if any, ) and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a6.01(a)(1) or (bSection 6.01(a)(2) occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuers Partnership and any other obligor on the Guarantors Notes of each series for the whole amount of principal ofprincipal, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes and such Notes, together with interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(i) or (bii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers Company for (i) the principal, premium and interest remaining unpaid on the Guarantors for the whole amount of Senior Notes, (ii) interest on overdue principal of, and premium, interest and Additional Interest, if any, remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if anyinterest, and (iii) such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counselcounsel ("Trustee Expenses").

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a) or (b) 5.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company or any other obligor for the whole amount of principal of, (and premium, interest if any) and Additional Interestinterest, if any, remaining unpaid on the Notes any Securities of such series and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover amounts due the Trustee under Section 6.07 hereof, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(1) or (b2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors or any other obligor for the whole amount of principal ofprincipal, premium, if any, and interest and Additional InterestLiquidated Damages, if any, remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional InterestLiquidated Damages, if any, and such further amount as shall be sufficient to cover amounts due the Trustee under Section 7.08, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a) or (b) in respect of a series of Securities occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, interest and Additional Interest, if any, and interest then due and remaining unpaid on the Notes Securities of such series and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if anyinterest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a), (b) or (bd) occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company for the whole amount of principal of, premium, and interest and Additional InterestLiquidated Damages, if any, remaining unpaid on the Convertible Subordinated Notes and interest on overdue principal and, to the extent lawful, and interest and Additional InterestLiquidated Damages, if any, and such further amount as shall be sufficient to cover the costs and and, to the extent lawful, expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(1) or (b2) occurs and is continuing, without the possession of any of the Notes or the production thereof in any proceeding related thereto, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counselcounsel (including without limitation any amounts due to the Trustee pursuant to Section 7.07).

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(aclause (1) or (b2) of Section 5.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers Company and the Guarantors any Guarantor for the whole amount of principal of, and premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes any series of Securities, and interest on overdue principal and premium, if any, and, to the extent lawful, interest and Additional Interest, if anyon overdue interest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(l) or (b2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and Issuer or the Guarantors Company for the whole amount of principal of, premium, interest if any, and Additional Special Interest, if any, and interest remaining unpaid on the 2017 B Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(1) or (b2) occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Issuer for the whole amount of principal of, premium, of and interest and Additional Interest, if any, remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the Notes Collateral Agent and the reasonable and documented out-of-pocket expenses, disbursements and advances of the TrusteeTrustee and the Notes Collateral Agent, its their respective agents and counsel, in each case as set forth in Section 7.07.

If an Event of Default specified in Section 6.01(a) or (b) occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal ofunpaid principal, premiumpremium and accrued interest remaining unpaid, together with, to the extent that payment of such interest is lawful, interest and Additional Interest, if any, remaining unpaid on the Notes overdue principal and interest on overdue principal andinstallments of interest, to in each case at the extent lawful, interest and Additional Interest, if anyrate set forth in Section 4.01 hereof, and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If Subject to the Collateral Agency Agreement and the Intercreditor Agreement, if an Event of Default specified in Section 6.01(a) or (b) occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, premium and interest and Additional Interest, if any, remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.1(a), (b) or (bc) hereof with respect to Securities of any Series occurs and is continuing, the Trustee for such Securities is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company for the whole amount of principal of, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes on, such Securities and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the such Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a7.01(a) or (b) occurs and is continuingcontinuing and is known to the Trustee, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interestpremium, if any, and interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(1) or (b2) occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuers Company and any other obligor on the Guarantors Notes, including the Guarantors, for the whole amount of principal of, premium, interest if any, and Additional Interestinterest, if any, remaining unpaid on the Notes and interest Notes, together with interest, if any, on overdue principal and, to the extent lawful, interest and Additional Interestinterest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a4.01(i) or (bii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company or any other obligor for the whole amount of principal ofprincipal, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes Securities and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover amounts due the Trustee under Section 5.07 hereof, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a) or (b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and Company, the Guarantors Parent Guarantor or any Subsidiary Guarantor for the whole amount of principal of, premium, interest premium and Additional InterestLiquidated Damages, if any, and interest remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall will be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(i) or (bii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the reasonable and documented out-of-pocket expenses, disbursements and advances of the Trustee, its agents and counsel, in each case as set forth in Section 7.07 hereof.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(i) or (b6.01(a)(ii) occurs and is continuingcontinuing with respect to the Notes, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, interest and Additional Interestif any, interest, if any, remaining unpaid on the Notes and interest on overdue principal and premium, if any, and, to the extent lawful, interest and Additional Interestinterest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.1(1) or (bSection 6.1(2) occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company or any other obligor for the whole amount of principal ofprincipal, premium, interest and Additional Interest, Amounts if any, remaining unpaid on the Notes Bonds and interest Default Interest on overdue principal andpayment, to the extent lawful, interest and Additional Interest, if anyin accordance with Section 4.1, and such further amount as shall be sufficient to cover the costs costs, expenses and expenses liabilities of collection, including the reasonable compensation, expenses, disbursements and liabilities and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a) or (b) occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company for the whole amount of principal ofunpaid principal, premium, interest and Additional Interest, if any, remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and accrued interest remaining unpaid, together with, to the extent that payment of such interest is lawful, interest on overdue principal and interest on overdue installments of interest, in each case at the rate set forth in Section 4.01 hereof, and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(1) or (b2) with respect to any series of Notes occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, interest and if any, Additional Interest, if any, and interest remaining unpaid on the such Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a5.02(a) or (b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers Company, and to enforce such judgment and collect the Guarantors monies adjudicated or decreed to be payable, for the whole amount of principal of, premium, of and interest and Additional Interest, if any, remaining unpaid on the Notes and Notes, interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.1(a) or (b) occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuers and Company or any other obligor on the Guarantors Securities for the whole amount of principal ofand accrued interest remaining unpaid, premium, together with interest and Additional Interest, if any, remaining unpaid overdue on the Notes and interest on overdue principal and, to the extent that payment of such interest is lawful, interest and Additional Intereston overdue installments of interest, if any, in each case at the Interest Rate and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a) or (b) occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company for the whole amount of principal ofunpaid principal, premium, interest and Additional Interest, if any, remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and accrued interest remaining unpaid, together with, to the extent that payment of such interest is lawful, interest on overdue principal and interest on overdue installments of interest, in each case at the rate set forth in the Notes, and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a6.01(a)(1) or (b2) with respect to any series of Securities occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors for the whole amount of principal of, premium, interest and if any, Additional InterestAmounts, if any, and interest remaining unpaid on the Notes such Securities and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a6.01(a)(i) or (bSection 6.01(a)(ii) occurs and is continuingcontinuing with respect to a Series of Securities, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company for the whole amount of principal of, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes Securities of such Series and interest on overdue principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default with respect to the Securities of any series specified in Section 6.01(a7.01(i) or (bii) occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company or any other obligor for the whole amount of principal ofprincipal, premium, interest and Additional Interest, if any, and interest remaining unpaid on the Notes Securities of such series and interest on overdue principal and, to the extent lawful, interest and Additional Interestinterest, if any, premium and such further amount as shall be sufficient to cover the costs and expenses of collection, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a) or (bSection 6.01(b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Issuer for the whole amount of principal of, premiumpremium on, if any, interest and Additional InterestAmounts, if any, remaining unpaid on on, the Notes and interest on overdue principal and, to the extent lawful, Additional Amounts, interest and Additional Interest, if any, and such further amount as shall will be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(aclause (1) or (b2) of Section 6.01 occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuers and Company or any other obligor on the Guarantors Notes for the whole amount of principal ofdue and payable on such Notes for principal, premium, interest and Additional Interest, if any, remaining unpaid on the Notes and interest on overdue principal and, to the extent that payment of such interest is lawful, interest and Additional Intereston overdue principal, if anyat the rate per annum specified in the Notes, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a) or (b) occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company for the whole amount of principal ofunpaid principal, premium, interest and Additional Interest, if any, remaining unpaid on the Notes and interest on overdue principal and, to the extent lawful, interest and Additional Interestmake-whole amount, if any, and accrued interest remaining unpaid, together with, to the extent that payment of such interest is lawful, interest on overdue principal and interest on overdue installments of interest, in each case at the rate set forth in Section 4.01 hereof, and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(aclause (1) or (b2) of Section 7.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuers and the Guarantors Company or a Guarantor for the whole amount of principal ofprincipal, premium, interest premium and Additional Interestinterest, if any, remaining unpaid on the Notes Notes, and interest on overdue principal and premium, if any, and, to the extent lawful, interest and Additional Interest, if anyon overdue interest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.
