Collections and Receipt of Proceeds by Agent. Agent shall, after the occurrence and during the continuance of an Event of Default, have the right, but not the duty, to collect and enforce any or all of the Accounts as Agent may deem advisable and, if Agent shall at any time or times elect to do so in whole or in part, Agent shall not be liable to Pledgor except for willful misconduct or gross negligence, if any. Pledgor hereby constitutes and appoints Agent, or Agent’s designated agent, as Pledgor’s attorney-in-fact to exercise, at any time after the occurrence of an Event of Default, all or any of the following powers which, being coupled with an interest, shall be irrevocable until the complete and full payment of all of the Obligations:
