Collections; Remittances. From and after the Effective Time, (a) Seller shall promptly remit to Buyer any amounts that are collected or received by Seller that are for the account of Buyer pursuant to the terms of this Agreement, and (b) Buyer shall, and shall cause its Affiliates to, promptly remit to Seller any amounts that are collected or received by Buyer or any such Affiliate that are for the account of Seller pursuant to the terms of this Agreement.
Collections; Remittances. Bald▇▇▇ ▇▇▇l:
(a) collect and remit to the appropriate taxing jurisdiction when due the applicable sales and use taxes; (b) remit to each appropriate taxing jurisdiction on behalf of DFS when due, but out of Bald▇▇▇'▇ ▇▇▇ funds and incorporated in Bald▇▇▇'▇ ▇▇▇mal payments, all personal property and ad valorem taxes and all other fees, charges and licenses, in each case arising out of or related to the purchase, sale, resale, use, storage or possession of the Consigned Goods or from the adding of value to the Consigned Goods (individually a "Tax" and collectively "Taxes"); and (c) maintain documentation relating to the Taxes for the Consigned Goods separate from that other goods or services provided by Bald▇▇▇ ▇▇ its customers.
