Common use of Combating Bribery of Public Officials Clause in Contracts

Combating Bribery of Public Officials. Institution agrees that it will not make any payment, either directly or indirectly, of money or other assets (collectively “Payment”) to any Government Official (as defined below) if such Payment is for the purpose of influencing decisions or actions with respect to the subject matter of this Agreement or any other aspect of Sponsor’s business. “Government Official” means (i) any officer or employee of a government, or of a public international organization, (ii) any person acting in an official capacity for or on behalf of any such government or public international organization, and (iii) any official of a political party or candidate for political office. Institution will report any violation of the requirements of this Article to Sponsor immediately and agrees to make all relevant records and other documentation relating to a violation available for Sponsor and its representatives review. 23.
