Common use of Combined Returns Clause in Contracts

Combined Returns. LGL shall be responsible for preparing and filing (or causing to be prepared and filed) all Combined Returns for any Tax Year, provided, however, that Mtron shall furnish any relevant information, including pro-forma returns, disclosures, apportionment data and supporting schedules, relating to any member of the Mtron Group necessary for completing any Combined Return for any Tax Year in a format suitable for inclusion in such return, and provided further, that Mtron shall have the right to review and comment with respect to items on such returns if and to the extent such items directly relate to Taxes for which Mtron would be liable under Section 2.1(b)(i), such comment not to be unreasonably rejected.
