Commercial Services. In terms of a Fully Managed arrangement, the Contractor must provide the Lead Organisation with a full breakdown of the services provided to each of the Customer Organisations receiving the Service, including all associated charges, in a format that would readily allow the Lead Organisation to chargeback the costs to the Customer Organisations receiving the services.

Commercial Services. 16.1 Where the Operator registers a Commercial Service which does not comply with the applicable Service Standards, then save where the specification of such Commercial Service has been agreed in accordance with clause 16.2.2, the Operator acknowledges and agrees that Welsh Government or any Local Authority in the area in which such service is operated may determine that notwithstanding the operation of the Commercial Service, that the service in question is not being provided to the applicable Service Standard required, in accordance with section 7(4) Transport (Wales) Xxx 0000 or section 63(5) Xxxxxxxxx Xxx 0000 and that Welsh Government or the relevant Local Authority may determine that a service that meets the applicable Service Standard may be let in accordance with clause 17 (subject to the application, where relevant, of the Part 1 Competition Test). 16.2 Where the Operator registers a Commercial Service which will operate: 16.2.1 in accordance with the applicable Service Standards; or 16.2.2 in accordance with a variation to the Service Standards as agreed by the Operator, Lead Authority and TfW on the grounds that, for example, the specified standard for the hours of operation or frequency of the service are not financially viable or required, then the Parties acknowledge that such service shall be operated as a Commercial Service for the purposes of this Agreement, but shall for the avoidance of doubt, remain subject to the terms of this Agreement, the Umbrella Partnership Agreement and any future partnership agreement developed pursuant to the terms of the Umbrella Partnership Agreement. 16.3 The Parties acknowledge that the reconciliation process at Part 3 of Schedule 3 shall take into account the costs and revenues from all Local Services provided by the Operator, including Supported Services, Formerly Commercial Services and Commercial Services. For the avoidance of doubt, the assessment of whether the Operator has been over or under compensated and the calculation of any margin due shall be based on the net position on costs and revenues across all the Operator’s Local Services.
Commercial Services. SECTION 6.1 To the extent the Parent elects to have the Manager provide such services, the Manager shall provide the following commercial services to the Group: (a) performing class records review and physical inspections in connection with any vessel to be purchased by a member of the Group; (b) at the request and under the direction of the Parent, providing administrative services in connection with the purchase of a second-hand vessel or the acquisition or sale of a Newbuild, in either case by any member of the Group, including, if specifically instructed by the Parent in writing, signing any agreed form of memorandum of agreement, shipbuilding contract or other similar contract for and on behalf of the relevant member of the Group; and (c) at the request of the Parent, providing certain services in connection with a member of the Group taking physical delivery of a Vessel or registering a Vessel or deleting a Vessel from the applicable port of registry on behalf of the relevant member of the Group.
Commercial Services. In addition to any commercial services provided under this Agreement, the Manager shall provide the following commercial services to the Owners: (a) managing relationships between the Owners and any existing or potential charterers, shipbuilders, insurers, lenders, investors, fund managers, shareholders and other shipping industry service providers/participants; and (b) providing certain services in connection with taking physical delivery of the vessel, if applicable, registering a vessel under a ship register, tendering physical delivery of a Vessel or deleting a Vessel from the applicable port of registry, in each case on behalf of the Owners.
Commercial Services. The Manager shall provide certain commercial services to the Group, which includes, but is not limited to, the following functions: (a) performing class records review and physical inspections and, at the request of the Owner, making recommendations to the Owner with respect to any additional vessel being considered for purchase by the Owner; (b) at the request and under the direction of the Owner, certain administrative services in connection with the purchase or sale of a Vessel by the Owner or any member of the Group; (c) at the request of the Owner, certain services in connection with the Owner or any Subsidiary taking physical delivery of a Vessel; and (d) at the request of the Owner, performing any other functions necessary to assist the Owner with any Vessel sale or purchase or Newbuilding.

Commercial Services. Commercial Services shall be made with a minimum of noise and disturbance and shall be provided between the hours of 7:00 a.m., local time, and 6:00 p.m., local time, Monday through Saturday and between the hours of 8:00 a.m., local time, and 6:00 p.m., local time, on Sunday.
Commercial Services. They may participate through bidding, but they may in no event render Commercial Services in the same line of business as the Holding Company or the Concession Companies in a determined Assigned Airport; and
