Commercialization Progress Reports. Within sixty (60) days following ---------------------------------- the last day of each calendar half-year, beginning with the first calendar half- year following the Closing Date, TGC shall provide a written Commercialization Progress Report to Immunex setting forth TGC's progress in research, development and commercialization of genetic therapy products and services using the Licensed Technology during such half-year, as well as TGC's goals and objectives for use of the Licensed Technology during the following half-year and five-year periods. This obligation shall continue for a period of seven (7) years following the Closing Date. All such Reports shall be deemed to be TGC confidential information for purposes of Section 7.7 hereof.

Commercialization Progress Reports. During the period beginning on the date Karuna provides GFB with an initial Commercialization Plan for a given Licensed Product -13- and ending on the date on which Karuna provides GFB with the first royalty report for such Licensed Product pursuant to Section 5.3(e), Karuna shall provide GFB with a written report every [***] that provides a summary of Karuna’s and its Affiliates’ and Sublicensees’ significant activities related to Commercialization of such Licensed Product during the previous [***] period.

Commercialization Progress Reports. Almirall shall submit to the JCC a written report of Almirall’s progress under the Commercialization Plan (including that of Almirall’s Affiliates and any Sublicensees) at least [*****] days before each JCC meeting (but no less frequently than [*****] per Calendar Year), which report shall include a reasonably detailed summary of its activities conducted from the end of the period covered by the immediately prior report, including which objectives were achieved and which objectives were not achieved (and the reasons therefor), and its plans for the following period until the next scheduled report.
