Common use of Commission Consent Clause in Contracts

Commission Consent. Consummation of the purchase and sale provided ================== for herein and the performance of the obligations of Seller and Buyer under this Agreement are subject to the condition that the Commission shall have given its consent in writing, without any condition materially adverse to Buyer or Seller, to the assignment of the Commission Authorizations and all Other Authorizations to Buyer. Such consent shall have become final (i.e. no longer subject to administrative or judicial review).

Consummation of the purchase and sale ------------------ provided ================== for herein and the performance of the obligations of Seller Sellers and Buyer Buyers to close under this Agreement are subject to the condition that the Commission shall have given issued its consent in writingapproval, without any condition materially adverse to Buyer or SellerBuyers' operation of the Stations and outside of the ordinary course for similar transactions, to of the assignment (the "Assignment") of the Commission Authorizations to License Co. in accordance with the terms of this Agreement (the "Initial Order"), and all Other Authorizations to Buyer. Such consent such approval shall have become final a Final Order (i.e. no longer subject to administrative or judicial reviewas hereinafter defined).
