Common use of Commission Orders Clause in Contracts

Commission Orders. Use its best efforts to cause the Registration Statement and any subsequent amendments thereto, to become effective as promptly as possible, and will notify you immediately, and confirm the notice in writing, (i) when the Registration Statement and any post-effective amendment thereto become effective, (ii) of the issuance by the Commission of any stop order or of the initiation, or the threatening, of any proceedings for that purpose or of the suspension of the qualification of the Shares for offering or sale in any jurisdiction or of the institution or threatening of any proceedings for any of such purposes, (iii) of the receipt of any comments from the Commission with respect to the Registration Statement, and (iv) of any request by the Commission for any amendment to the Registration Statement as filed or any amendment or supplement to the Prospectus or for additional information relating thereto. The Company will make every reasonable effort to prevent the issuance by the Commission of a stop order or a suspension order and if the Commission shall enter a stop order or suspension order at any time, the Company will make every reasonable effort to obtain the lifting of such order at the earliest possible moment.
