Commissions, etc. The Vendor agrees to indemnify and save harmless the Purchaser from and against all Losses suffered or incurred by the Purchaser in respect of any commission or other remuneration payable to any broker, agent or other intermediary who is acknowledged by the Vendor to act or have acted for or on behalf of the Vendor or any of its Affiliates in connection with the transactions contemplated hereby, and the Purchaser agrees to indemnify and save harmless the Vendor from and against all Losses suffered or incurred by the Vendor in respect of any commission or other remuneration payable to any broker, agent or other intermediary who is acknowledged by the Purchaser to act or have acted for the Purchaser or any of its Affiliates in connection with the transactions contemplated hereby.

(b) The Purchasers agrees to indemnify and save harmless the Vendor Vendors from and against all Losses suffered or incurred by the Vendor in respect of any claims whatsoever for any commission or other remuneration payable or alleged to be payable to any broker, agent or other intermediary who is acknowledged by the Purchaser to act or have has acted for the a Purchaser or any of its Affiliates in connection with the transactions contemplated herebypurchase and sale of the Purchased Shares, the Purchased Debt or the indirect purchase and sale of the Corporation Assets.
