Commitment Expiration/Termination Notice. The Administrative ---------------------------------------- Agent shall undertake to provide the Guarantor with written notice of either the expiration of the Commitment with respect to any Borrower or the refusal of any of the Administrative Agent and the Banks to enter into the New Loan Documents with any Borrower for the reasons set forth in Section 2(b) or 2(c) hereof; provided, however, that the Administrative Agent's -------- ------- failure to provide such notice shall not affect in any manner the right of any of the Administrative Agent and the Banks to refuse to close under such circumstances.
