Commitment Letter and Fee Letter. Holdings and the Borrower agree to comply with their respective obligations pursuant to (i) paragraphs 8 and 9 of the Commitment Letter and (ii) the Fee Letter, in each case in accordance with the respective terms thereof. Commitment Letter and Fee Letter. The Borrower shall have complied in all material respects with the terms of the Commitment Letter and the Fee Letter and shall have paid all fees and expenses required to be paid on the Closing Date pursuant to the Loan Documents (it being understood that, with respect to the payment of fees and expenses, such payment may be made from the proceeds of the Loans).
