To the Knowledge of Seller, neither the Company nor any Subsidiary has made any commitments to any Governmental Authority, utility company, school board, church or other religious body, or to any other organization, group or individual, relating to the Assets which would impose on any of them any material obligation to make any contributions of money, dedication of land or grants of easements or rights-of-way, or to construct, install or maintain any improvements, public or private, on or off the Land.
Commitments to Governmental Authorities. No outstanding commitments have been made by Seller to any governmental authority, utility company, school board, church or other religious body, or any homeowners or homeowners' association, or to any other organization, group, or individual, relating to the Property which would impose an obligation upon Buyer or its successors or assigns to make any contribution or dedications of money or land or to construct, install, or maintain any improvements of a public or private nature on or off the Property; and, to Seller’s knowledge, no governmental authority has imposed any requirement that any developer of the Property pay directly or indirectly any special fees or contributions or incur any expenses or obligations in connection with any development of the Property or any part thereof. The provisions of this Section shall not apply to any regular, nondiscriminatory local real estate taxes or impact fees assessed against the Property.

Except as set forth in the Property Records, no commitments relating to the Property have been made to any Governmental Authority, utility company, school board, church or other religious body or any homeowner or homeowners association, merchant's association or any other organization, group or individual which would impose an obligation upon Buyer or its successors or assigns to make any contribution or dedication of money or land or to construct, install or maintain any improvements of a public or private nature on or off the Land; and except as set forth in the Property Records, no Governmental Authority has imposed any requirement that any owner of the Land pay directly or indirectly any special fees or contributions or incur any expenses or obligations in connection with the Land.

Except as set forth in the Delivered Records (i) no commitments relating to the Property that are material in relation to any Hotel have been made to any Governmental Authority, utility company, school board, church or other religious body or any homeowner or homeowners association, merchant's association or any other organization, group or individual which would impose an obligation upon Buyer or its successors or assigns to make any contribution or dedication of money or land or to construct, install or maintain any improvements of a public or private nature on or off the Land and (ii) no Governmental Authority has imposed any requirement that is material in relation to any Hotel that any owner of the Land pay directly or indirectly any special fees or contributions or incur any expenses or obligations in connection with the Land.
Commitments to Governmental Authorities. Except as may be reflected on title to the Property, no commitments have been made by Seller to any governmental authority, utility company, school board, any homeowners’ association or to any other organization, group or individual, relating to the Property, which would impose an obligation upon County or its successors or assigns to make any contribution or dedication of money or land, or to construct, install or maintain any improvements of a public or private nature on or off the Property that have not been disclosed in writing to County.
Commitments to Governmental Authorities. Except as set forth in ---------------------------------------- the Property Records (i) no commitments relating to the Property that are material in relation to the Hotel have been made to any Governmental Authority, utility company, school board, church or other religious body or any homeowner or homeowners association, merchant's association or any other organization, group or individual which would impose an obligation upon Buyer or its successors or assigns to make any contribution or dedication of money or land or to construct, install or maintain any improvements of a public or private nature on or off the Land and (ii) no Governmental Authority has imposed, or to the knowledge of Seller has threatened to impose, any requirement that is material in relation to the Hotel that the owner of the Land pay directly or indirectly any special fees or contributions or incur any expenses or obligations in connection the Land.
Commitments to Governmental Authorities. Except for Permitted Exceptions and, as otherwise disclosed by Seller in EXHIBIT 7.1.22, Seller has no knowledge of any commitments relating to the Resort made by Seller or Seller's predecessor in title to any Governmental Authority, utility company, school board, church or other religious body or any homeowner or homeowners association, merchant's association or any other organization, group or individual which would impose an obligation upon Buyer or its successors or assigns to make any contribution or dedication of money or land or to construct, install or maintain any improvements of a public or private nature on or off the Land; and no Governmental Authority has imposed any requirement that any owner of the Land pay directly or indirectly any special fees or contributions or incur any expenses or obligations in connection with the Land.
Commitments to Governmental Authorities. No commitments have been made to any governmental authority, utility company, school board, church or other religious body, or any homeowners or homeowners’ association, or to any other organization, group or individual, relating to the Property which would impose an obligation upon the Purchaser or its successors or assigns to make any contribution or dedications of money or land or to construct, install, or maintain any improvements of a public or private nature on or off the Property, or which restricts the use of the Property, and Seller has no knowledge that any governmental authority has imposed any requirement that any owner of the Property pay directly or indirectly any special fees or contributions or incur any expenses or obligations in connection with any operation of the Property or any part thereof, except for any regular or nondiscriminatory local real estate or school taxes assessed against the Property.
