Commitments to Governmental Authorities. To the Knowledge of Seller, neither the Company nor any Subsidiary has made any commitments to any Governmental Authority, utility company, school board, church or other religious body, or to any other organization, group or individual, relating to the Assets which would impose on any of them any material obligation to make any contributions of money, dedication of land or grants of easements or rights-of-way, or to construct, install or maintain any improvements, public or private, on or off the Land.

Commitments to Governmental Authorities. Except as may be reflected on title to the PROPERTY, no commitments have been made by SELLER to any governmental authority, utility company, school board, any homeowners’ association or to any other organization, group or individual, relating to the PROPERTY, which would impose an obligation upon COUNTY or its successors or assigns to make any contribution or dedication of money or land, or to construct, install or maintain any improvements of a public or private nature on or off the PROPERTY that have not been disclosed in writing to COUNTY.

The provisions of this Section shall not apply to any regular, nondiscriminatory local real estate taxes or impact fees assessed against the Property.

  • Compliance; Governmental Authorizations The Seller has complied in all material respects with all applicable Federal, state, local or foreign laws, ordinances, regulations and orders. The Seller has all Federal, state, local and foreign governmental licenses and permits necessary in the conduct of the Subject Business the lack of which would have a material adverse effect on the Buyer's ability to operate the Subject Business after the Closing on substantially the same basis as presently operated, such licenses and permits are in full force and effect, no violations are or have been recorded in respect of any thereof and no proceeding is pending or threatened to revoke or limit any thereof. None of such licenses and permits shall be affected in any material respect by the transactions contemplated hereby.
