Committed Period Subscriptions Sample Clauses
The 'Committed Period Subscriptions' clause defines the terms under which a customer agrees to subscribe to a service or product for a fixed, predetermined period. Typically, this means the customer is obligated to pay for and use the service for the entire duration of the commitment, such as a one-year or multi-year term, regardless of actual usage. This clause often outlines the consequences of early termination, such as penalties or continued payment obligations. Its core practical function is to provide predictability and financial stability for the service provider while ensuring the customer receives the agreed-upon service for the committed timeframe.
Committed Period Subscriptions. If an Order indicates that Partner will pay for a committed period, such as a set number of months or years, all Service Fees will be invoiced in advance at the billing frequency specified in the applicable Order based on the number of Users and of Devices specified in such Order (the “Committed Quantity” of Users and of Devices). If the High-Water Mark of Users or of Devices for an End Customer exceeds the applicable Committed Quantity in any month, JumpCloud will invoice, and Partner will pay, the difference between each Committed Quantity and each High-Water Mark, based on the Service Fees calculation described in Section 5.3 (High-Water Marks), for such month.

In addition, JumpCloud may charge a different rate per User for each User in excess of the Committed Quantity in each month, as provided in the applicable Order.

If the High-Water Mark for Customer exceeds the Committed Quantity in any month: (a) Automox may invoice, and Customer will pay, the difference between the Committed Quantity and the High-Water Mark, based on the Service Fees calculation described in Section 3.2 (Fee Calculation), for such month (the “Monthly True-Up” of Service Fees), and (b) the Committed Quantity for subsequent months will be that new High-Water Mark and will be billed in advance of each month.
