Committed Purchase Facility for Early Funding. Ladies and Gentlemen: This letter agreement (this “Letter Agreement”) amends and restates, effective as of the Effective Date (defined below), that certain Letter Agreement between Xxxxxx Xxx and PHH Mortgage Corporation (“PHH”) dated as of December 14, 2015, related to the Committed Purchase Facility for Early Funding (the “Existing Letter Agreement”), regarding Xxxxxx Mae’s commitment to accept delivery and to purchase mortgage loans and pools of mortgage loans from PHH pursuant to the Early Funding Agreements (as defined in that certain Amended Pricing Terms Letter between Xxxxxx Xxx and PHH, dated as of December 14, 2015.
