Common ConditionsThe obligations of the parties to consummate this Agreement shall be subject to the satisfaction of each of the following common conditions prior to or as of the Closing, except to the extent that any such condition shall have been waived in accordance with the provisions of Section 8.4 herein:
Common Conditions. The respective obligations of the parties to consummate the transaction contemplated by this Agreement shall be subject to the satisfaction or waiver prior to the Closing Date of the following conditions: (a) The Agreement, and the transactions contemplated hereby shall have been approved by the requisite vote of the shareholders of Seller and its subsidiaries, if necessary, in accordance with applicable law. (b) All approvals, notices to, consents or waivers required by any of the Seller Regulatory Agencies or the Buyer Regulatory Agencies with respect to this Agreement and the transactions contemplated hereby shall have been obtained and shall remain in full force and effect, and all applicable statutory waiting periods shall have expired; and the parties shall have procured all other regulatory approvals, consents or waivers of governmental authorities or other persons that are necessary to the consummation of the transactions contemplated by this Agreement except those approvals, consents or waivers, if any, which, in Buyer's sole discretion, if not so obtained, would not have a material adverse effect on Buyer, Seller, the Purchased Assets or the Assumed Liabilities after giving effect to the transactions contemplated herein; provided, however, that no such approval shall have imposed any condition or requirement which in the reasonable opinion of the board of directors of Buyer renders consummation of the transactions contemplated by this Agreement inadvisable. (c) All other requirements prescribed by law which are necessary to the consummation of the transactions contemplated by this Agreement shall have been satisfied. (d) No party hereto shall be subject to any order, decree or injunction of a court or agency of competent jurisdiction which enjoins or prohibits the consummation of the transactions contemplated by this Agreement, and no litigation or proceeding shall be pending against any of the parties herein or any of their subsidiaries brought by any governmental agency seeking to prevent consummation of the transactions contemplated hereby. (e) No statute, rule, regulation, order, injunction or decree shall have been enacted, entered, promulgated or enforced by any governmental authority which prohibits, restricts or makes illegal consummation of the transactions contemplated by this Agreement.

Common ConditionsWith respect to Liability Coverage, including Voluntary Compensation for Residence Employees and other than Xxxxxx’x Limited Pollution Liability, when added ─ Statutory Conditions 1, 3, 4, 5 and 15 only apply. All of the Conditions set forth and under the titles Statutory Conditions apply with respect to all of the perils insured by this Policy except as these Conditions may be modified or supplemented by the Forms or Endorsements included herein or attached.
Common Conditions a In establishing or changing an employee’s roster, the Company will respect the family responsibilities of the employee, and occasions of special religious relevance. b In establishing or changing a roster, the Company will have regard for genuine existing sporting commitments in which the employee is actively participating, that have scheduled attendance times and which are of a competitive nature. The Company will also have regard to an employee’s genuine secondary or tertiary study commitments. This does not include lifestyle or interest courses. In having regard for commitments, the Company still reserves the right to meet business needs. c Rosters shall be set on a regular basis for every weekly employee. The Company will be mindful of the employee’s needs when contemplating such roster changes and will not frequently vary the employee’s roster. Every roster will contain commencing and ceasing times for each day and times for meal breaks each day.
Common ConditionsThe obligation of each of DHI, DHI Sub Corp and PMI to consummate the Merger shall be subject to the satisfaction (or to the mutual waiver in writing by each of PMI and DHI) of each of the following conditions: (a) other than the filings contemplated under Article II in connection with the Merger, (i) all Governmental Authorizations and all filings with any Governmental Body contemplated by this Agreement or otherwise required by any Legal Requirement to be made prior to the consummation of the Merger and the other transactions contemplated by this Agreement shall have been obtained or filed, (ii) all waiting periods imposed by any Governmental Body or Legal Requirement shall have expired or otherwise terminated, and (iii) all required third party consents contemplated by this Agreement shall have been obtained except third party consents, in the aggregate, the failure of which to obtain would not have a material adverse effect on either of PMI and its Subsidiaries taken as a whole or DHI and its Subsidiaries taken as a whole; (b) this Agreement, the Plan of Merger and the Merger shall have been approved by the shareholders of PMI in accordance with applicable provisions of the PMI Organizational Documents and the IBCL; and (c) no statute, rule, regulation, executive order, decree or injunction shall have been enacted, entered, promulgated, made or enforced by any court or Governmental Body (i) which is in effect, and (ii) which prohibits the consummation of the Merger.
Common Conditions. The prior satisfaction or waiver of each of the conditions precedent set forth in Section 6.02 and Section 6.03 of this Agreement.
