Common use of Common Shares and Redemption Shares Clause in Contracts

Common Shares and Redemption Shares. (a) All of the issued and outstanding shares of the REIT have been duly authorized, validly issued, and are fully paid and non-assessable, with no preemptive rights. (b) All of the Redemption Shares, when issued pursuant to the Acquiror's Second Amended Partnership Agreement, will be duly authorized, validly issued, fully paid, and non-assessable.
