Common use of Communication with Accountants Clause in Contracts

Communication with Accountants. Each Credit Party executing this Agreement authorizes Administrative Agent to communicate directly with such Credit Party’s independent certified public accountants and authorizes and shall instruct those accountants to communicate (including the delivery of audit drafts and letters to management) with Administrative Agent and each Lender information relating to any Credit Party with respect to the business, results of operations and financial condition of any Credit Party; provided however, that Administrative Agent or the applicable Lender, as the case may be, shall provide such Credit Party with notice at least two (2) Business Days prior to first initiating any such communication.

Communication with Accountants. Each Credit Loan Party executing this Agreement authorizes Administrative Agent to communicate directly with such Credit Loan Party’s independent certified public accountants and authorizes and shall instruct those accountants to communicate (including the delivery of audit drafts and letters to management) with Administrative Agent and each Lender information relating to any Credit Loan Party with respect to the business, results of operations operations, and financial condition of any Credit Loan Party; provided howeverprovided, that Administrative Agent or the applicable Lender, as the case may be, shall provide such Credit Loan Party with notice at least two (2) Business Days prior to first initiating any such communication.

Each Credit Party executing this Agreement authorizes Administrative Agent to communicate directly with such Credit Party’s independent certified public accountants and authorizes and shall instruct those accountants to communicate (including the delivery of audit drafts and letters to management) with Administrative Agent and each Lender information relating to any Credit Party or any of its Subsidiaries with respect to the business, results of operations and financial condition of any Credit PartyParty or any of its Subsidiaries; provided however, that Administrative Agent or the applicable Lender, as the case may be, shall provide such Credit Party Company with notice at least two (2) Business Days prior to first initiating any such communication.

Each Credit Party executing this Agreement authorizes Administrative Agent to communicate directly with such Credit Party’s independent certified public accountants and authorizes and shall instruct those accountants accountants, in each case subject to such accountants’ customary policies and procedures, to communicate (including the delivery of audit drafts and letters to management) with Administrative Agent and each Lender information relating to any Credit Party with respect to the business, results of operations and financial condition of any Credit Party; provided however, that Administrative Agent or the applicable Lender, as the case may be, shall provide such Credit Party with notice at least two three (23) Business Days prior to first initiating any such communicationcommunication and such Credit Party and any of its Subsidiaries shall be given the right to be present at or participate in such discussions and communications.

Communication with Accountants. Each By its execution of this Agreement or a Counterpart Agreement, each Credit Party executing this Agreement authorizes Administrative Agent and the Lenders to communicate directly with such Credit Party’s independent certified public accountants and authorizes and shall instruct those accountants to communicate (including the delivery of audit drafts and letters to management) with Administrative Agent and each Lender information relating to any Credit Party with respect to the business, results of operations and financial condition of any Credit Party; provided however, that Administrative Agent or the applicable Lender, as the case may be, shall provide such Credit Party with notice at least two five (25) Business Days prior to first initiating any such communication.

Communication with Accountants. Each Credit Party executing this Agreement authorizes (a) Administrative Agent and (b) so long as an Event of Default has occurred and is continuing, each Lender, to communicate directly with such Credit Party’s its independent certified public accountants, including KPMG, LLP, and authorizes those accountants and authorizes and shall instruct those accountants advisors to communicate (including the delivery of audit drafts and letters to management) with Administrative Agent and each Lender information relating to any Credit Party with respect to the business, results of operations and financial condition of any Credit Party; provided however, that Administrative Agent or the applicable Lender, as the case may be, shall provide such Credit Party with notice at least two (2) Business Days prior to first initiating any such communication.

Communication with Accountants. Each Credit Party executing this Agreement authorizes Administrative Agent and, so long as a Default or Event of Default shall have occurred and be continuing, each Lender, to communicate directly with such Credit Party’s its independent certified public accountants including Ernst & Young LLP, and authorizes and shall instruct those accountants and advisors to communicate (including the delivery of audit drafts disclose and letters make available to management) with Administrative Agent and each Lender information relating to any Credit Party with respect to the businessand all Financial Statements and other supporting financial documents, results of operations and financial condition of any Credit Party; provided however, that Administrative Agent or the applicable Lender, as the case may be, shall provide such Credit Party with notice at least two (2) Business Days prior to first initiating any such communication.schedules
