From and after the date of this Agreement until the Closing Date, Purchaser shall consult with Seller and obtain Seller’s approval and consent (which shall not be unreasonably withheld, delayed or conditioned) before making any written or oral communications to any Business Employees, whether relating to employee benefits, post-Closing terms of employment or otherwise; provided, however, that Purchaser shall be provided reasonable access to contact (i) the Business Employees identified on Section 5.7(a) of the Seller Disclosure Schedule or (ii) the other Business Employees as mutually identified by Seller and Purchaser following the date of this Agreement for purposes of transition planning and business preparedness facilitation, subject in each case to Seller’s reasonable oversight.
