Communications Materials Clause Samples
The Communications Materials clause defines the rules and requirements for any materials used in communications related to the agreement, such as press releases, marketing collateral, or public statements. Typically, this clause specifies which party is responsible for creating, reviewing, and approving such materials, and may require that all communications be pre-approved to ensure accuracy and consistency. Its core function is to maintain control over public messaging and protect the reputation and interests of the parties involved by preventing unauthorized or misleading disclosures.
Communications Materials. To the extent they relate to the Purchaser, the Parent and their respective businesses, the Communications Materials will not contain any untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary in order to make the statements contained therein not misleading as of the date thereof.
Communications Materials. To ensure the proper execution of ss. A8.1 and A8.2, above, the Recipient shall provide the Province with draft communications materials including news releases, print, event notification and other public material for the Province’s approval at least seven (7) days prior to public release, and provide updates on its communication plans with each Milestone Package (see Schedule D1) for the duration of the Agreement.

Communications Materials. Consultant shall prepare informational materials for the Corridor and for the projects within the Corridor. All Project materials must be consistent with the projects Public Information Plans and the Corridor Strategic Outreach Plan. Materials can be made for individual projects or for multiple projects/the Corridor. Consultant shall, in consultation with the Agency, determine how best to serve stakeholder needs with materials and be consistent with objectives in the Public Information Plans and the Corridor Strategic Outreach Plan. Consultant shall prepare text and graphic layout of informational materials to be used during outreach events and available online. Standard ODOT text about the availability of translated materials and Americans with Disabilities Act (“ADA”) accommodations must be included in all printed materials and the website. All electronic materials must be finalized in an accessible format. Consultant shall provide printed materials in an accessible format upon request by Agency. All public outreach materials must conform to the current Agency communication standards.
Communications Materials. Wellmark will provide access to an online communications gateway (“Gateway”) where Client may access and download standard electronic communications material at no additional charge. Certain quantities of standard printed communications may also be available at no additional charge. Customized items are available for additional fees, and Client agrees to pay bulk sales or similar taxes (if any), shipping and handling for any standard or customized material orders. Notwithstanding the foregoing, it is Client’s responsibility to ensure that the summary plan descriptions, plan documents and any other documentation relating to the FSA are appropriately completed, are in compliance with the requirements of the FSA and applicable law, and are appropriately and timely adopted by Client. Client shall be solely responsible for distributing summary plan descriptions, summaries of material modification and any other documentation with respect to the FSA to Participants on a timely basis as provided by applicable law. Client shall also be solely responsible for complying with HIPAA, COBRA and ERISA with respect to the FSA and making any filing with the appropriate governmental agencies, including the Department of Labor and the Internal Revenue Service with respect to the FSA.
