Company and Pledgor Remain Liable Sample Clauses

Company and Pledgor Remain Liable. Notwithstanding anything to the contrary contained herein, (a) each of Company and Pledgor, as applicable, shall remain liable under the Company Agreement to the extent set forth therein to perform all of the duties and obligations of such Person thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Secured Party of any of its rights hereunder shall not release Company or Pledgor, as applicable, from any of such Person’s duties or obligations under the contracts and agreements included in the Collateral, and (c) Secured Party shall not have any obligation or liability under the Company Agreement by reason of this Agreement, nor shall Secured Party be obligated to perform any of the obligations or duties of Company or Pledgor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder, to the extent the same arise prior to such foreclosure.
