Common use of Company Authorizations Clause in Contracts

Company Authorizations. Each material Permit (a) pursuant to which the Company currently operates or holds any interest in any of its Assets and Properties, or (b) that is required for the operation of the Company’s business as presently conducted or the holding of any such interest (collectively, the “Company Authorizations”) has been issued or granted to the Company. The Company Authorizations are in full force and effect and constitute all Company Authorizations required to permit the Company to lawfully operate or conduct its business or hold any interest in its Assets and Properties in all material respects.

Company Authorizations. Each material Permit consent, license, permit, grant or other authorization (a) pursuant to which the Company Acquired Companies currently operates operate or holds hold any interest in any of its Assets and Propertiesproperties, or (b) that which is required for the operation of the Company’s business of the Acquired Companies as presently currently conducted or currently contemplated to be conducted or the holding of any such interest (collectively, the “Company Authorizations”) has been issued or granted to the CompanyAcquired Companies, as the case may be. The Acquired Companies are and has been at all times in compliance, in all material respects, with all Company Authorizations. The Company Authorizations are in full force and effect and constitute all Company Authorizations required to permit the Company Acquired Companies to lawfully operate or conduct its business or hold any interest in its Assets and Properties in all material respectsproperties or assets.
