Company Closing Certificates. The Purchaser shall have received a certificate from the Company (the “Company Officer’s Certificate”), validly executed by the Chief Executive Officer of the Company for and on the Company’s behalf, to the effect that, as of the Closing the conditions set forth in Sections 8.2(a) and 8.2(b) have been satisfied.
