COMPANY DIVIDEND POLICY. Except as required by law or modified in accordance with Section 3.12 of the Bylaws, the Company shall not modify, amend, repeal or waive any provisions of, and shall comply with the terms of, the Company’s Dividend Policy set forth as Exhibit A hereto, as adopted by the Board on the date hereof.
