Company Indebtedness and Encumbrances. Purchaser shall have received evidence, satisfactory to Purchaser, that all Company Indebtedness has paid in full and finally discharged or that upon payment thereof at Closing, all Encumbrances on and security interests in any property of the Company constituting collateral or securing any obligations under any documents evidencing the Company Indebtedness will be released and terminated as of Closing.

Company Indebtedness and Encumbrances. No Company Indebtedness (other than the Permitted Indebtedness) shall be outstanding. Parent shall have received evidence, satisfactory to Parent, that the Company has paid in full and finally discharged all Company Indebtedness (other than the Permitted Indebtedness) and that upon such repayment, all Encumbrances on and security interests in any property of the Company or any of its Subsidiaries constituting collateral or securing any obligations under any documents evidencing such Company Indebtedness will be released and terminated.
