Common use of Company Information Clause in Contracts

Company Information. I agree at all times during the term of my Relationship with the Company and thereafter, to hold in strictest confidence, and not to use, except for the benefit of the Company, or to disclose to any person, firm, corporation or other entity without written authorization of the Board of Directors of the Company, any Confidential Information of the Company which I obtain or create. I further agree not to make copies of such Confidential Information except as authorized by the Company. I understand that "CONFIDENTIAL INFORMATION" means any Company proprietary information, technical data, trade secrets or know-how, including, but not limited to, research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on whom I called or with whom I became acquainted during the Relationship), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationship, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

Company Information. I agree at all times during the term of my Relationship with the Company and thereafterthereafter for 24 months, to hold in strictest confidence, and not to use, except for the benefit of the CompanyCompany to the extent necessary to perform my obligations to the Company under the Relationship, or to disclose to any person, firm, corporation or other entity without written authorization of the Board of Directors of the Company, any Confidential Information of the Company which I obtain or create. I further agree not to make copies of such Confidential Information except as authorized by the Company. I understand that "CONFIDENTIAL INFORMATION" “Confidential Information” means any Company proprietary information, technical data, trade secrets or know-how, including, but not limited to, research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on whom I called or with whom I became acquainted during the Relationship), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationship, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" “Confidential Information” includes, but is not limited to, information pertaining to any aspects of the Company's ’s business which is either information not known by actual or potential competitors of the Company or other third parties not under confidentiality obligations to the Company, or is otherwise proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items information which has become publicly and widely known and made generally available through no wrongful act of mine mine, was known to me at the time it was disclosed, is lawfully and in good faith made available to me by a third party who did not derive it, directly or of others who were indirectly from the Company, or is information that is independently discovered or developed by me without violating my obligations under confidentiality obligations as to the item or items involvedthis agreement and which can be demonstrated by competent evidence.

Company Information. I understand that "CONFIDENTIAL INFORMATION" “Confidential Information” includes, but is not limited to, information pertaining to any aspects of the Company's ’s business which is either information not known by actual or potential competitors of the Company or other third parties not under confidentiality obligations to the Company, or is otherwise proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

I understand that "CONFIDENTIAL INFORMATION" “Confidential Information” means any and all information and materials, in whatever form, tangible or intangible, whether disclosed to or learned or developed by me before or after the execution of this Agreement, whether or not marked or identified as confidential or proprietary, pertaining in any manner to the business of or used by the Company proprietary informationand its affiliates, technical data, trade secrets or know-how, including, pertaining in any manner to any person or entity to whom the Company owes a duty of confidentiality. Confidential Information includes but is not limited to, the following types of information and materials: research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on whom I called contact or with whom I became acquainted obtain information or access to information about during the Relationshipmy employment,), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationshipmy employment, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, and any information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I understand that "CONFIDENTIAL INFORMATION" Confidential Information includes, but is not limited to, information pertaining to any aspects aspect of the Company's business ’s business, which is either information not known by actual or potential competitors of the Company or other third parties not under confidentiality obligations to the Company, or is otherwise proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

Company Information. I agree at all times during the term of my Relationship with the Company employment and thereafter, thereafter to hold in strictest confidence, and not to use, use except for the benefit of the Company, Company or to disclose to any person, firm, firm or corporation or other entity without written authorization of the Board of Directors of the Company, any Confidential Information of the Company which I obtain or create. I further agree not to make copies of such Confidential Information except as authorized by the Company. I understand that "CONFIDENTIAL INFORMATION" “Confidential Information” means any Company proprietary information, technical data, trade secrets or know-how, including, but not limited to, research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers and suppliers of the Company on whom I called or with whom I became acquainted during the Relationshipterm of my employment with the Company), prices and costs, markets, works of original authorship, photographs, negatives, digital images, software, computer programs, know-how, ideas, developments, inventions, laboratory notebooksinventions (whether or not patentable), processes, formulas, technology, designs, drawings, engineering, hardware configuration information, forecasts, strategies, marketing, licenses, finances, budgets finances or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation or inspection of parts or equipment or created by me during equipment. Notwithstanding the period of the Relationshipforegoing, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does will not include any of the foregoing items information which has become (i) was publicly and widely known and made generally available in the public domain prior to the time of disclosure by the disclosing party; (ii) becomes publicly known and made generally available after disclosure by the Company to me through no wrongful act action or inaction on my part; (iii) is already in my possession at the time of mine or of others who were under confidentiality obligations disclosure as shown by my files and records prior to the item time of disclosure; (iv) is obtained by me from a third party without a breach of such third party’s obligations of confidentiality; (v) is independently developed by me without use of or items involvedreference to the Company’s Confidential Information, as shown by my documents and other competent evidence in my possession; or (vi) is required by law to be disclosed by me, provided that I will give the Company written notice of such requirement prior to disclosing so that the Company may seek a protective order or other appropriate relief.

Company Information. Confidential Information includes but is not limited to, the following types of information and materials: research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on whom I called contact or with whom I became acquainted obtain information or access to information about during the Relationshipmy employment,), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationshipmy employment, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, and any information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

Company Information. I agree at all times during the remaining term of my Relationship with the Company employment and thereafter, to hold in strictest confidence, and not to use, except for the benefit of the Company, or to disclose to any person, firm, firm or corporation or other entity without written authorization of the Board of Directors of the Company, any Confidential Information an officer of the Company which I obtain or create. I further agree not to make copies of such (other than me), any Company Confidential Information Information, except as under a non-disclosure agreement duly authorized and executed by the Company. I understand that "CONFIDENTIAL INFORMATION" “Company Confidential Information” means any Company proprietary information, non-public information that relates to the actual or anticipated business or research and development of the Company; technical data, trade secrets or know-how, including, but not limited to, research, product plansplans or other information regarding the Company’s products or services and markets therefor; customer lists, productscontact information, servicesbuying history, suppliers, customer lists contract negotiations and customers preferences (including, but not limited to, customers of the Company on whom I called or with whom I became acquainted during the Relationshipterm of my employment); vendor lists, prices contact information, and costscontract negotiations (including, marketsbut not limited to, vendors of the Company on whom I called or with whom I became acquainted during the term of my employment); personnel information (including information regarding other employees’ skills, performance, discipline and compensation); software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, ; marketing, licensespricing, financesand financing information, budgets plans and strategies; finances or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationship, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwiseinformation. I further understand that Company Confidential Information does not include any of the foregoing items which has that have become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involvedinvolved or improvements or new versions thereof. I understand that nothing in this Agreement is intended to limit employees’ rights to discuss the terms, wages, and working conditions of their employment, as protected by applicable law.

Company Information. I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

I understand that "CONFIDENTIAL INFORMATIONProprietary Information" means any Company proprietary information, technical technical. data, trade secrets or know-know how, including, but not limited to, research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on whom I called or with whom I became acquainted during the Relationship), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationship, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATIONProprietary Information" includes, but is not limited to, information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Proprietary Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

Company Information. I agree at all times during the term of my Relationship with the Company employment and thereafter, thereafter to hold in strictest confidence, and not to use, except for the benefit of the Company, any of the Company’s Confidential Information; or to disclose to any person, firm, firm or corporation or other entity without written authorization of the Board of Directors any of the Company, any Confidential Information of the Company which I obtain or create. I further agree not to make copies of such ’s Confidential Information except as authorized in writing by the Company’s Board of Directors or, if expressly authorized by the Company’s management, pursuant to a written nondisclosure agreement that sufficiently protects the Confidential Information. I understand that "CONFIDENTIAL INFORMATION" “Confidential Information” means any Company proprietary informationinformation that relates to the Company’s actual or anticipated business or research and development, technical data, trade secrets or know-how, including, but not limited to, research, product plans, products, services, suppliersplans or other information regarding the Company’s products or services and markets therefor, customer lists and customers (including, but not limited to, the Company’s customers of the Company on whom I called or with whom I became acquainted during the Relationshipterm of my employment), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets finances or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationship, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwiseinformation. I further understand that Confidential Information (i) includes the foregoing information even if disclosed to me in connection with the contemplation of my becoming an employee of the Company, i.e., prior to the Effective Date, and (ii) does not include any of the foregoing items which has become that is or becomes publicly and widely known and made generally available through no wrongful act or omission of mine or of others who were under confidentiality obligations as to the item or items involvedinvolved or improvements or new versions thereof.

I understand that "CONFIDENTIAL INFORMATION" Confidential Information includes, but is not limited to, information pertaining to any aspects aspect of the Company's ’s business which is either information not known by actual or potential competitors of the Company or other third parties not under confidentiality obligations to the Company, or is otherwise proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

Company Information. I agree at all times during the term of my Relationship with the Company and thereafter, to hold in strictest confidence, and not to use, except for the benefit of the CompanyCompany to the extent necessary to perform my obligations to the Company under the Relationship, or to disclose to any person, firm, corporation or other entity without written authorization of the Board of Directors of the Company, any Confidential Information of the Company which I obtain or create. I further agree not to make copies of such Confidential Information except as authorized by the Company. I understand that "CONFIDENTIAL INFORMATIONConfidential Information" means any Company proprietary information, technical data, trade secrets or know-how, including, but not limited to, research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on whom I called or with whom I became acquainted during the Relationship), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationship, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" Confidential Information includes, but is not limited to, information pertaining to any aspects aspect of the Company's business which is either information not known by actual or potential competitors of the Company or other third parties not under confidentiality obligations to the Company, or is otherwise proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I agree at all times during the term of my Relationship with the Company Employment Period and thereafter, thereafter to hold in strictest confidence, and not to use, use except for the benefit of the Company, Company or to disclose to any person, firm, firm or corporation or other entity without written authorization of the Board of Directors of the Company, any Confidential Information of the Company which I obtain or create. I further agree not to make copies of such Confidential Information except as authorized by the Company. I understand that "CONFIDENTIAL INFORMATION" “Confidential Information” means any Company proprietary information, technical data, trade secrets or know-how, including, but not limited to, research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers and suppliers of the Company on whom I called or with whom I became acquainted during the RelationshipEmployment Period), prices and costs, markets, works of original authorship, photographs, negatives, digital images, software, computer programs, know-how, ideas, developments, inventions, laboratory notebooksinventions (whether or not patentable), processes, formulas, technology, designs, drawings, engineering, hardware configuration information, forecasts, strategies, marketing, licenses, finances, budgets finances or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation or inspection of parts or equipment or created by me during equipment. Notwithstanding the period of the Relationshipforegoing, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does will not include any of the foregoing items information which has become (i) was publicly and widely known and made generally available in the public domain prior to the time of disclosure by the disclosing party; (ii) becomes publicly known and made generally available after disclosure by the Company to me through no wrongful act action or inaction on my part; (iii) is already in my possession at the time of mine or of others who were under confidentiality obligations disclosure as shown by my files and records prior to the item time of disclosure; (iv) is obtained by me from a third party without a breach of such third party’s obligations of confidentiality; (v) is independently developed by me without use of or items involvedreference to the Company’s Confidential Information, as shown by my documents and other competent evidence in my possession; or (vi) is required by law to be disclosed by me, provided that I will give the Company written notice of such requirement prior to disclosing so that the Company may seek a protective order or other appropriate relief.

Company Information. I agree at all times during the term of my Relationship with the Company employment and thereafter, to hold in strictest confidence, and not to use, except for the benefit of the Company, or to disclose to any person, firm, firm or corporation or other entity without written authorization of the Board of Directors of the Company, any Confidential Information an officer of the Company which I obtain or create. I further agree not to make copies of such (other than me), any Company Confidential Information Information, except as under a non-disclosure agreement duly authorized and executed by the Company. I understand that "CONFIDENTIAL INFORMATION" “Company Confidential Information” means any Company proprietary information, non-public information that relates to the actual or anticipated business or research and development of the Company; technical data, trade secrets or know-how, including, but not limited to, research, product plansplans or other information regarding the Company’s products or services and markets therefor; customer lists, productscontact information, servicesbuying history, suppliers, customer lists contract negotiations and customers preferences (including, but not limited to, customers of the Company on whom I called or with whom I became acquainted during the Relationshipterm of my employment); vendor lists, prices contact information, and costscontract negotiations (including, marketsbut not limited to, vendors of the Company on whom I called or with whom I became acquainted during the term of my employment); personnel information (including information regarding other employees’ skills, performance, discipline and compensation); software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, ; marketing, licensespricing, financesand financing information, budgets plans and strategies; finances or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationship, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwiseinformation. I further understand that Company Confidential Information does not include any of the foregoing items which has that have become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involvedinvolved or improvements or new versions thereof. I understand that nothing in this Agreement is intended to limit employees’ rights to discuss the terms, wages, and working conditions of their employment, as protected by applicable law.

Company Information. I agree at all times during the term of my Relationship employment with the Company and thereafter, to hold in strictest confidence, and not to use, except for the benefit of the Company, or to disclose to any person, firm, corporation or other entity without written authorization of the Board of Directors of the Company, any Confidential Information of the ofthe Company which I obtain or create. I further agree not to make copies of such Confidential Information except as authorized by the Company. I understand that "CONFIDENTIAL INFORMATIONConfidential Information" means any and all infonnation and materials, in whatever form, tangible or intangible, whether disclosed to or learned or developed by me before or after the execution of this Agreement, whether or not marked or identified as confidential or proprietary, pertaining in any manner to the business of or used by the Company proprietary informationand its affiliates, technical data, trade secrets or know-how, including, pertaining in any manner to any person or entity to whom the Company owes a duty of confidentiality. Confidential Information includes but is not limited to, the following types of information and materials: research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on whom I called contact or with whom I became acquainted obtain information or access to information about during the Relationshipmy employment,), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationshipmy employment, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, and any information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, and any information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I 1 understand that "CONFIDENTIAL INFORMATION" Confidential Information includes, but is not limited to, information pertaining to any aspects aspect of the Company's business which is either information not known by actual or potential competitors of the Company or other third parties not under confidentiality obligations to the Company, or is otherwise proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items (i) of which I had knowledge prior to my employment with the Company, or (ii) which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involvedmine.

I understand that "CONFIDENTIAL INFORMATIONConfidential Information" means any Company proprietary information, technical data, trade secrets or know-how, including, but not limited to, business plans and strategies, research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on whom I called or with whom I became acquainted during the Relationship), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other confidential proprietary business information disclosed to me by or on behalf of the Company either directly or indirectly in writing, orally or by drawings or observation of interfaces, parts or equipment or created by me during the period of the RelationshipRelationship on behalf of or within the course and scope of my performance of services to the Company, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATIONConfidential Information" includes, but is not limited to, information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

I understand that "CONFIDENTIAL INFORMATION" includes, but is not limited to, and any information pertaining to any aspects of the Company's ’s business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

I understand that "CONFIDENTIAL INFORMATION" Confidential Information includes, but is not limited to, information pertaining to any aspects aspect of the Company's ’s business which is either information not known by actual or potential competitors of the Company or other third parties not under confidentiality obligations to the Company, or is otherwise proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items (i) of which I had knowledge before my employment with the Company, or (ii) which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involvedmine.

I understand that "CONFIDENTIAL INFORMATION" “Confidential Information” means any Company Companies’ proprietary information, technical data, trade secrets or know-how, including, but not limited to, research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on Companies to whom I called or with whom I became acquainted during the Relationship), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other business information disclosed to me by the Company Companies either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationship, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATION" Confidential Information includes, but is not limited to, information pertaining to any aspects aspect of the Company's Companies’ business which is either information not known by actual or potential competitors of the Company Companies’ or other third parties not under confidentiality obligations to the Companies’, or is otherwise proprietary information of the Company Companies’ or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involved.

I understand that "CONFIDENTIAL INFORMATION" Confidential Information includes, but is not limited to, information pertaining to any aspects aspect of the Company's ’s business which is either information not known by actual or potential competitors of the Company or other third parties not under confidentiality obligations to the Company, or is otherwise proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items (i) of which I had knowledge prior to my employment with the Company, or (ii) which has become publicly and widely known and made generally available through no wrongful act of mine or of others who were under confidentiality obligations as to the item or items involvedmine.

I agree at all times during the term of my Relationship with the Company and thereafter, to hold in strictest confidence, confidence and not to useuse or disclose to any person, firm or corporation, except for the benefit of the Company, Company or to disclose to any person, firm, corporation or other entity without with prior written authorization of the Board of Directors of the Company, any Confidential Information of the Company which I obtain or createfrom the Company. I further agree not to make copies of such Confidential Information except as authorized by the Company. I understand that "CONFIDENTIAL INFORMATION" “Confidential Information” means any Company proprietary information, technical data, trade secrets or know-how, including, but not limited to, research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on whom I called or with whom I became acquainted during the Relationshipterm of my employment), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationship, whether or not during working hoursequipment. I understand that "CONFIDENTIAL INFORMATION" “Confidential Information” includes, but is not limited to, information pertaining to any aspects of the Company's business ’s Business (as defined below) which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I further understand that Confidential Information does not include any of the foregoing items which was previously known to me or which has become publicly and widely known and made generally available through no wrongful act of mine or mine. When I communicate with employees of others who were under confidentiality obligations as the Company, I will be entitled to the item or items involvedassume that their communications will not include any Confidential Information to me unless they inform me prior to such disclosure.

Company Information. I agree at all times during the term of my ------------------- the Relationship with the Company and thereafter, to hold in strictest confidence, and not to use, except for the benefit of the CompanyCompany and within the scope of my Relationship, or to disclose to any person, firm, firm or corporation or other entity without written authorization of the Board of Directors President of the Company, any Confidential Proprietary Information of the Company which that I obtain or create. I further agree not to make copies of such Confidential Proprietary Information except as authorized by the Company. I understand that "CONFIDENTIAL INFORMATIONProprietary Information" means any Company proprietary information, technical ----------------------- data, trade secrets or know-how, including, but not limited to, research, product plans, products, services, suppliers, customer lists and customers (including, but not limited to, customers of the Company on whom I called or with whom I became acquainted during the Relationship), prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets or other business information disclosed to me by the Company either directly or indirectly in writing, orally or by drawings or observation of parts or equipment or created by me during the period of the Relationship, whether or not during working hours. I understand that "CONFIDENTIAL INFORMATIONProprietary Information" includes, but is not limited to, information ----------------------- pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise. I understand that "CONFIDENTIAL INFORMATIONConfidential Information" includes, but is not limited to, information pertaining to any aspects of the Company's business which is either information not known by actual or potential competitors of the Company or is proprietary information of the Company or its customers or suppliers, whether of a technical nature or otherwise.
