Company Proceedings of each Borrower and Obligor. Agent shall have received a copy of the resolutions of the Board of Directors, Management Committee, Managing Member or Manager of each Borrower and of each Obligor, as applicable, authorizing (i) the execution, delivery and performance of this Agreement and the other Financing Agreements and (ii) the granting by each Borrower and by each Obligor of the security interests in and liens upon the Collateral in each case certified by the Secretary, an Assistant Secretary, or Manager, as applicable, of each Borrower and of each Obligor as of the Closing Date; and, such certificate shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded as of the date of such certificate;
