Common use of Company Share Ownership Clause in Contracts

Company Share Ownership. Each Stockholder is the sole lawful record and beneficial owner of and has good and valid record and marketable title to those shares of the Company Shares set forth beside such Stockholder's name on Schedule 1 hereto and has the right to sell, convey, transfer, assign, and deliver such Company Shares to the Buyer without any restrictions except as may be imposed under the Securities Act. Each Stockholder owns all right, title and interest in and to the Company Shares set forth beside its name on Schedule 1 hereto free and clear of any and all liens, encumbrances, adverse rights and claims of any kind whatsoever. Neither any act or omission of any Stockholder or any predecessor in interest, nor the transactions contemplated by this Agreement or the agreements and actions contemplated hereby, has resulted in, or will result in, any person having any claim or cause of action whatsoever involving any Company Shares.
