Common use of Company’s Acceptance of Proxy Clause in Contracts

Company’s Acceptance of Proxy. The Stockholder covenants to take any and all action necessary or appropriate to assure that the Company will accept and give effect to, in accordance with Section 78.355 of the NRS, the irrevocable proxy appointment set forth in this Article 4, including, without limitation, delivery of this executed Agreement to any inspector or judge of elections, officer or agent of the Company authorized to tabulate votes.
