COMPANY'S REMEDIAL ACTION REGARDING HAZARDOUS MATERIALS. Company shall promptly take, and shall cause each of its Subsidiaries promptly to take, any and all necessary response action in connection with the presence, storage, use, disposal, transportation or Release of any Hazardous Materials on, under or about any Facility in order to comply with all applicable Environmental Laws and Governmental Authorizations to the extent that the failure to so comply could reasonably be expected to have a Material Adverse Effect. In the event Company or any of its Subsidiaries undertakes any remedial action with respect to any Hazardous Materials on, under or about any Facility, Company or such Subsidiary shall conduct and complete such remedial action in compliance in all material respects with all applicable Environmental Laws, and in accordance in all material respects with the policies, orders and directives of all federal, state and local governmental authorities except when, and only to the extent that, Company's or such Subsidiary's liability for such presence, storage, use, disposal, transportation or discharge of any Hazardous Materials is being contested in good faith by Company or such Subsidiary.

Company shall promptly take, and shall cause each of its Subsidiaries promptly to take, any and all necessary response remedial action in connection with the presence, storage, use, disposal, transportation or Release of any Hazardous Materials on, under or about any Facility in order to comply with all applicable Environmental Laws and undisputed Governmental Authorizations to the extent that the where failure to so comply could would reasonably be expected to have result in a Material Adverse Effect. In the event If Company or any of its Subsidiaries undertakes any remedial action with respect to any Hazardous Materials on, under or about any Facility, Company or such Subsidiary shall conduct and complete such remedial action in material compliance in all material respects with all applicable material Environmental Laws, and in accordance in all material respects with the policies, orders and directives of all federal, state and local governmental authorities except when, and only to the extent that, Company's or such Subsidiary's liability for liability, including with respect to such presence, storage, use, disposal, transportation or discharge of any Hazardous Materials Materials, or the jurisdiction or the authority or the validity or the applicability of the Environmental Laws or the policies, orders or directions is being contested in good faith by Company or such Subsidiary.

In the event Company or any of its Subsidiaries undertakes any remedial action with respect to any Hazardous Materials on, under or about any Facility, Company or such Subsidiary shall conduct and complete such remedial action in compliance in all material respects with all applicable Environmental Laws, and in accordance in all material respects with the policies, orders and directives of all federal, state and local governmental authorities Government Authorities except when, and only to the extent that, Company's or such Subsidiary's liability for such presence, storage, use, disposal, transportation or discharge of any Hazardous Materials or legal obligations with respect to the extent of such remedial action is being contested in good faith by Company or such Subsidiary.
