Compelled Disclosure of Confidential Information. Notwithstanding anything in the foregoing to the contrary, the Receiving Party may disclose Confidential Information pursuant to any governmental, judicial, or administrative order, subpoena, discovery request, regulatory request or similar method, provided that the Receiving Party promptly notifies, to the extent practicable, the Disclosing Party in writing of such demand for disclosure so that the Disclosing Party, at its sole expense, may seek to make such disclosure subject to a protective order or other appropriate remedy to preserve the confidentiality of the Confidential Information; provided in the case of a broad regulatory request with respect to the Receiving Party’s business (not targeted at Disclosing Party), the Receiving Party may promptly comply with such request provided the Receiving Party give (if permitted by such regulator) the Disclosing Party prompt notice of such disclosure. The Receiving Party agrees that it shall not oppose and shall cooperate with efforts by, to the extent practicable, the Disclosing Party with respect to any such request for a protective order or other relief. Notwithstanding the foregoing, if the Disclosing Party is unable to obtain or does not seek a protective order and the Receiving Party is legally requested or required to disclose such Confidential Information, disclosure of such Confidential Information may be made without liability.

Notwithstanding the foregoing, if the Disclosing Party University is unable to obtain or does not seek a protective order and the Receiving Party is legally requested or required to disclose such Confidential Information, disclosure of such Confidential Information shall be limited to that which is legally required to be disclosed and may then be made without liability.

Notwithstanding anything in the foregoing to the contrarysection 6.1 of this Agreement, the Receiving Party may disclose Confidential Information pursuant to any governmental, judicial, or administrative order, subpoena, discovery request, regulatory request or similar method, provided that the Receiving Party promptly notifies, to the extent practicable, of the Disclosing Party in writing of such demand for disclosure so that the Disclosing Partyif (i) it is compelled by law to do so, at its sole expense, may seek to make such disclosure subject to a protective order or other appropriate remedy to preserve the confidentiality of the Confidential Information; provided in the case of a broad regulatory request with respect to the Receiving Party’s business (not targeted at Disclosing Party), the Receiving Party may promptly comply with such request provided the Receiving Party give (if permitted by such regulator) gives the Disclosing Party prompt prior notice of such disclosure. The Receiving Party agrees that it shall not oppose and shall cooperate with efforts by, compelled disclosure (to the extent practicablelegally permitted) and reasonable assistance, at the Disclosing Party with respect to any such request for a protective order or other relief. Notwithstanding the foregoingParty's cost, if the Disclosing Party wishes to contest the disclosure; (ii) the Confidential Information is unable generally known to obtain the public through no fault of the Receiving Party (iii) the Confidential Information was independently obtained by or in the possession of the Receiving Party in a manner that does not seek violate any other term of this Agreement; or (iv) the Confidential Information was subsequently developed independently by the Receiving Party in a protective order and manner that does not violate the terms of this Agreement. If the Receiving Party is legally requested or required compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to such Confidential Information, disclosure of such Confidential Information may be made without liability.

Notwithstanding anything in the foregoing to the contrary, the Receiving Party may disclose Confidential Information pursuant to any governmental, judicial, or administrative order, subpoena, discovery request, regulatory request or similar method, provided that the Receiving Party promptly notifies, to the extent practicable, the Disclosing Party in writing of such demand for disclosure so that the Disclosing Party, at its sole expense, may seek to make such disclosure subject to a protective order or other appropriate remedy to preserve the confidentiality of the Confidential Information; provided in the case of a broad regulatory request with respect to the Receiving Party’s business (not targeted at Disclosing Party), that the Receiving Party may promptly comply with such request provided will disclose only that portion of the Receiving Party give (if permitted by such regulator) requested Confidential Information that, in the Disclosing Party prompt notice written opinion of such disclosureits legal counsel, it is required to disclose. The Receiving Party agrees that it shall not oppose and shall cooperate with efforts by, to the extent practicable, the Disclosing Party with respect to any such request for a protective order or other relief. Notwithstanding the foregoing, if the Disclosing Party is unable to obtain or does not seek a protective order and the Receiving Party is legally requested or required to disclose such Confidential Information, disclosure of such Confidential Information may be made without liability.. #886871 2
