Compelled Disclosure. If the Receiving Party is requested by a governmental authority to disclose any Confidential Information, it shall promptly notify the Disclosing Party, to the extent permitted by law, to permit the Disclosing Party to seek a protective order or take other appropriate action, and shall assist in such activities. The Receiving Party shall only disclose that part of the Confidential Information as is required by law to be disclosed and the Receiving Party shall use commercially reasonable efforts to obtain confidential treatment therefor.

The receiving party may disclose Confidential Information pursuant to the requirements of a governmental agency or as required by law, provided that it gives the disclosing party reasonable prior written notice sufficient to permit the disclosing party to contest such disclosure. If the Receiving Party disclosing party is requested by a governmental authority to disclose any not successful in precluding the requesting legal body from requiring disclosure of the Confidential Information, it the receiving party shall promptly notify the Disclosing Party, to the extent permitted by law, to permit the Disclosing Party to seek a protective order or take other appropriate action, and shall assist in such activities. The Receiving Party shall furnish only disclose that part portion of the Confidential Information as which is legally required by law to be disclosed and the Receiving Party shall use commercially will exercise all reasonable efforts to obtain reliable assurances that confidential treatment thereforwill be accorded with the Confidential Information.

Compelled Disclosure. If The Receiving Party may disclose Confidential Information to the extent necessary pursuant to applicable federal, state, provincial, or local law, regulation, court order, or other legal process, provided the Receiving Party is requested by a governmental authority to disclose any Confidential Informationhas, it shall promptly notify if not otherwise prohibited, given the Disclosing PartyParty prior written notice of such required disclosure and, to the extent permitted by lawreasonably possible, to permit has given the Disclosing Party an opportunity to seek contest such required disclosure, including by seeking a protective order or take other appropriate actionremedy to prevent or limit such disclosure, at the Disclosing Party’s discretion and shall assist in such activities. The Receiving Party shall only disclose that part of the Confidential Information as is required by law to be disclosed and the Receiving Party shall use commercially reasonable efforts to obtain confidential treatment thereforexpense.
