Common use of Compensation and Loans Clause in Contracts

Compensation and Loans. Except as disclosed in Schedule 4.15, since ---------------------- December 31, 2000, there have been, and on the Closing Date will be, (i) no salaried or otherwise compensated employees, officers or directors of Buyer, (ii) no loans made to any officer or director of Buyer, (iii) no dividends or other distributions declared or paid by Buyer, and (iv) no repurchase by Buyer of any shares of capital stock.

Compensation and Loans.
