Compensation and Reimbursement and Indemnification of Trustee. The Company agrees: (1) To pay to the Trustee or any predecessor Trustee from time to time such reasonable compensation for all services rendered by it hereunder as has been agreed upon from time to time in writing (which compensation shall not be limited by any provision of law in regard to the compensation of a trustee of an express trust). (3iii) To indemnify each of the Trustee or and any predecessor Trustee and their respective officers, directors, employees, representatives and agents, for, and to hold it harmless against, any loss, liability liability, claim, damage, fee, cost or expense incurred without gross negligence or willful misconduct on its own partpart as finally adjudicated by a court of competent jurisdiction, arising out of or in connection with the acceptance or administration of the trust or trusts hereunder, including the reasonable and documented costs and expenses (including the reasonable and documented fees and expenses of its agents and counsel) of defending itself against any claim or liability in connection with the exercise or performance of any of its powers or duties hereunder (whether asserted by the Company, any Holder, the Company or any other Person). The Trustee shall notify the Company promptly , including enforcement of any third-party claim for which it may seek indemnity of which it has received written notice. Failure by the Trustee to so notify the Company shall not relieve the Company of its obligations hereunder unlessthis Section 6.06, and solely including reasonable attorneys’ fees and expenses and court costs incurred in connection with any action, claim or suit brought to the extent that, such failure prejudices the Company’s defense of such claim. The Company shall defend the claim, with counsel satisfactory to enforce the Trustee’s right to compensation, reimbursement or indemnification.
