Compensation as a Consultant. As consideration for the services to be rendered by Douce as a consultant under this Agreement, Douce shall receive the following compensation:

Compensation as a Consultant. For Services rendered by you under this Agreement up to 80 hours per month, the Company will pay you $12,000 per month during 1999 and $8,000 per month during 2000, each case on the 1st day of each month without deduction for payroll or other employment taxes. If you and the Company agree that you will spend more than 80 hours per month rendering Services, your additional time will be compensated at a mutually-agreed rate. The Company will also reimburse all actual, out-of-pocket expenses you reasonably incur in providing Services to the Company upon presentation by you from time to time, but no less often than every 30 days, of a reasonably itemized statement therefor in accordance with the Company's standard expense reimbursement policies. As an "independent contractor," you agree to pay all taxes required to be paid on the compensation payable to you hereunder, and further agree to indemnify and hold harmless the Company for any liability it incurs to taxing authorities if you fail to properly pay your taxes.
Compensation as a Consultant. In consideration for the Services provided by Executive, the Company agrees to pay the Executive a consulting fee of $2,500 per month.

  • Consulting Compensation In consideration for the services to be provided by the Consultant pursuant to Section 1, above, the Consultant shall be compensated as follows:

  • Full Compensation The payments that will be made to Employee or for his benefit pursuant to this Separation Agreement shall compensate him for and extinguish any and all claims he may have arising out of his employment with Deluxe or his employment termination as of the effective date of the Release, including but not limited to claims for attorneys' fees and costs, and any and all claims for any type of legal or equitable relief.

  • Compensation of Executive (a) The Corporation shall pay the Executive as compensation for his services hereunder, in equal semi-monthly or bi-weekly installments during the Term, the sum of $225,000 per annum (the “Base Salary).   • Director Compensation Parent shall be responsible for the payment of any fees for service on the Parent Board that are earned at, before, or after the Effective Time, and Varex shall not have any responsibility for any such payments except as otherwise provided in Article VI with respect to deferred compensation. With respect to any Varex non-employee director, Varex shall be responsible for the payment of any fees for service on the Varex Board that are earned at any time after the Effective Time and Parent shall not have any responsibility for any such payments. Notwithstanding the foregoing, Varex shall commence paying quarterly cash retainers to Varex non-employee directors in respect of the quarter in which the Effective Time occurs; provided that (a) if Parent has already paid such quarter’s cash retainers to Parent non-employee directors prior to the Effective Time, then within thirty (30) days after the Distribution Date, Varex shall pay Parent an amount equal to the portion of such payment that is attributable to Transferred Directors’ service to Varex after the Distribution Date (other than any amount that is subject to a deferral election and is credited or to be credited to any such director’s account under the Parent Deferred Compensation Plans), and (b) if Parent has not yet paid such quarter’s cash retainers to Parent non-employee directors prior to the Effective Time, then within thirty (30) days after the Distribution Date, Parent shall pay Varex an amount equal to the portion of such payment that is attributable to Transferred Directors’ service to Parent on and prior to the Distribution Date.

  • Compensation of Employee Employer shall pay Employee, and Employee shall accept from Employer, in full payment for Employee's services hereunder, compensation as follows:

  • Employment Compensation Schedule 3.16 contains a true and correct list of all employees to whom Company is paying compensation, including bonuses and incentives, at an annual rate in excess of Fifteen Thousand Dollars ($15,000) for services rendered or otherwise; and in the case of salaried employees such list identifies the current annual rate of compensation for each employee and in the case of hourly or commission employees identifies certain reasonable ranges of rates and the number of employees falling within each such range.
