Executive understands, acknowledges and agrees that this Agreement and the terms herein are expressly subject to the approval of the Compensation Committee of the Board of Directors and the signature of the CEO below is not binding until and unless the Compensation Committee approves the terms of this Agreement and the Agreement is countersigned by the Chairperson of the Compensation Committee.
