COMPENSATION DURING DISABILITY OR ON TERMINATION. 3.1. If a Change in Control occurs while the Employee is employed by the Company and if, during the Protected Period, the Employee fails to perform the Employee's normal duties as a result of Disability (as defined in Section 2.2 hereof), the Employee shall continue during the period of Disability to receive: (i) the Employee's full Annual Base Salary at the rate then in effect, (ii) any awards, deferred and non-deferred, payable during such period of disability under the Company's annual bonus plan, less any amounts paid to the Employee during such period of Disability pursuant to the Company's sick-leave or disability program until the Employee's employment is terminated on account of Disability pursuant to Section 2.2 hereof, and (iii) all other applicable perquisites, insurance and other employee benefits.
