Compensation for Additional Services, Certain Limitations. The Company and the Advisor will separately negotiate and agree on the fees for any additional services that the Company asks the Advisor, the Sub-Advisor or any of their respective Affiliates to render in addition to those set forth in Section 2 hereof. Any additional fees or reimbursements to be paid by the Company in connection with the additional services must be fair and reasonable and shall be approved by a majority of the Board of Directors, including a majority of the Independent Directors.
